other agreement. <br />31.2 Obligation to Cooperate. SUB -RECIPIENT, including any subcontractors, shall cooperate and comply <br />with any Washington state agency investigation regarding any allegation that SUB -RECIPIENT, including <br />any subcontractor, has engaged in discrimination prohibited by this Agreement pursuant to RCW <br />49.60.530(3). <br />31.3 Default. Notwithstanding any provision to the contrary, WTSC may suspend SUB -RECIPIENT, <br />including any subcontractors, upon notice of a failure to participate and cooperate with any state agency <br />investigation into alleged discrimination prohibited by this Agreement, pursuant to RCW 49.60.530(3). <br />Any such suspension will remain in place until WTSC receives notification that SUB -RECIPIENT, including <br />any subcontractors, is cooperating with the investigating state agency. In the event SUB -RECIPIENT, or <br />subcontractor, is determined to have engaged in discrimination identified at RCW 49.60.530(3), WTSC <br />may terminate this Agreement in whole or in part, and SUB -RECIPIENT, subcontractor, or both, may <br />referred for debarment as provided in RCW 39,26.200. The SUB -RECIPIENT, or subcontractor, may be <br />given a reasonable time in which to cure this noncompliance, including implementing conditions <br />consistent with any court -ordered injunctive relief or settlement agreement. <br />31.4 Remedies for Breach. Notwithstanding any provision to the contrary, in the event of Agreement <br />termination or suspension for engaging in discrimination, SUB -RECIPIENT, subcontractor, or both, shall <br />be liable for contract damages as authorized by law including, but not limited to, any cost difference <br />between the original Agreement and the replacement or cover Agreement and all administrative costs <br />directly related to the replacement Agreement, which damages are distinct from any penalties imposed <br />under Chapter 49.60, RCW. WTSC shall have the right to deduct from any monies due to SUB -RECIPIENT <br />or subcontractors, or that thereafter become due, an amount for damages SUB -RECIPIENT or <br />subcontractor will owe WTSC for default under this provision. <br />32. WAIVER <br />A failure by either party to exercise its rights under this Agreement shall not preclude that party from <br />subsequent exercise of such rights and shall not constitute a waiver of any other rights under this <br />Agreement. <br />APPLICABLE CERTIFICATIONS AND ASSURANCES FOR HIGHWAY SAFETY GRANTS (23 CFR PART 1300 <br />APPENDIX A): <br />33. BUY AMERICA ACT <br />The SUB -RECIPIENT will comply with the Buy America requirement (23 U.S.C. 313) when purchasing <br />items using federal funds. Buy America requires the SUB -RECIPIENT to purchase only steel, iron, and <br />manufactured products produced in the United States, unless the Secretary of Transportation <br />page 14 of 26 <br />
