lg.li. No Usury. No interest charged, or chargeable by Landlord under this Lease (including but not limited <br />to interest chargeable hereunder and/or any late chargg fee or other sum charged or withheld by Landlord and which is <br />deemed to be interest) shall exceed the maximum amount of interest permitted by any applicable law. If any such interest, <br />fee or charge would exceed such maximum, then such interest, fee or charge shalt be automatically reduced to the <br />maximum amount allowed by law and any sums already collected in excess of such maximum amount shall be refunded <br />by Landlord in cash or by granting Tenant a credit in the applicable amount which credit shall be applied against the next <br />Rent coming due. <br />19.18. Interpretation. The parties hereto specifically acknowledge and agree that the terms of this Lease have <br />been mutually negotiated and the parties hereby specifically waive the rule or principle of contract construction which <br />provides thaiany ambiguity in any term or provision of a contract will be interpreted or resolved against the party which <br />drafled such term or provision. <br />lg.lg. Choice of Law. This Lease shall be govemed by the laws of the State of Washington and in the event <br />suit is brought to enforce any of the provisions of this Lease, venue shall be laid in Kittitas County, Washington. <br />19.20. Legal Expenses. If either party is required to bring or maintain any action (including assertion of any <br />counterclaim or cross-claim, or claim in a proceedings in arbitration, bankuptcy, receivership or any other proceeding <br />instituted by a party hereto or by others), or otherwise refers this Lease to an attomey for the enforcement of any of the <br />covenants, terms or conditions of this Lease, the prevailing party in such action shall, in addition to all other payments <br />required herein, receive from the other, all the costs incurred by the prevailing party including reasonable attorneys' fees <br />and such costs and reasonable atlcmeys' fees whichthe prevailing party incuned in, and in preparation for, such action, <br />arbitration, trial, appeal, review and/or proceeding in bankruptcy court. <br />lg.2l. Effective Date. When used in this Agreement, the term "Effective Date" is the date the last party <br />to execute this Agreement executes it as disclosed by the respective date appearing below each party's signature.
