l2.2TheCountymay,atanytime,bywrittennoticethereoftocontractor(..Change <br />Notice,,)mat<eschangesintheWorkwithinthegeneral.scopeofthis <br />Agreement,including,butnottimitedto:(a)changesin,revisionsto, <br />substitutions for, additions to or deletions of any Work; (b) changes in <br />schedul.e; and (c) acceteration, dece[eration or suspension of performance of <br />anYWork. <br />12.g lf any change in the work causes an increase or decrease on contractor's cost <br />of, or the time required for, performance of the Work, an equitabte adjustment <br />in the compensation to contractor and in the schedul'e for the performance of <br />theWorkshal'l'bemadetoreftectsuchanincreaseordecrease. <br />12.4 Notwithstanding any dispute or detay in arriving at a mutuaLty acceptable <br />equitabte adjustment, contractor shatl' proceed in accordance with al'l' change <br />Notices. Ieim.inaxloir lor D-ela.u-l!: <br />lf the contractor defaults by faiting to perform any of the ob[igations olthe.lgre:ment or <br />becomes insotvent or is dectared bankrupt or commits any act of bankruptcy or insOtvency or <br />makes an assignment for the benefit of cieditors, the County may, by depositing written <br />notice to the Contractor in the U.S. mail., postage prepaid, terminate the Agreement' and at <br />the county's option, obtain performance of the work elsewhere' lf the Agreement is <br />terminated for default, the contractor shal,l, not be entitl'ed to receive any further payments <br />under the Agreement untit atl. work catted for has been futty pefformed' Any extra cost or <br />damage to the County resul.ting from such defaul't(s) shal'l be deducted from any money due <br />or coming due to the Contractor.
