12.2 The County may, at any time, by written notice thereof to Contractor {"Change Notice") makes changes in the Work within the general scope of this Agreement, including, but not timited to: (a) changes in, revisions to, substitutions for, additions to or detetions of any Work; (b) changes in schedute; and (c) acceteration, deceteration or suspension of petformance of anyWork. 12.3 lf any change in the Work causes an increase or decrease on Contractor's cost of, or the time required for, performance of the Work, an equitabte adjustment in the compensation to Contractor and in the schedute forthe performance of the Work shatt be made to reftect such an increase or decrease' 12.4 Notwithstanding any dispute or detay in arriving at a mutuatty acceptable equitabte adjustment, Contractor shatt proceed in accordance with att Change Notices. The Contractor must, within thirty (30) days atter receipt of any Change Notice that does not set forth any acceptabte adjustment, submit to the County a written statement setting forth any adjustment ctaimed. 12.5 tf any change resutts in a decrease in the Work performed, Contractor shal't be entitted to compensation associated with changing the Work, such as revising design atready compl.eted, revising calcutations atready performed, and revising documents. 1 3. Ts.r.mieatlon*fpr.Def a u tl : lf the contractor defautts by faiting to perform any of the ob[igations of the Agreement or becomes insotvent or is dectared bankrupt or commits any act of bankruptcy or insotvency or makes an assignment forthe benefit of creditors, the County may, by depositing written notice to the Contractor in the U.S. mait, postage prepaid, terminate the Agreement, and at the County's option, obtain performance of the work etsewhere. lf the Agreement is terminated for defautt, the Contractor shatt not be entitted to receive any further payments under the Agreement until atl work catted for has been fulty performed. Any extra cost or damage to the County resutting from such default(s) shalt be deducted from any money due or coming due to the Contractor.
