No penatty or expense shal.accrue to the County in the event this provision appties. <br />20. co-ntractor egmm Ltments, warra nti es andgeprese ntati0ns: <br />The contractor represents and warrants to the county as fotlows:20'1 The Contractor is duty incorporated, vatidty existing and in good standing <br />under the laws of the State of Washington and has att requisite corporate <br />power and authority to enter into and to perform its obl.igations under this <br />Agreement. <br />2u.)The contractor has the authority to execute this Agreement, to make the <br />representations and warranties set forth in it and to perform the obl.igations <br />of the contractor under this Agreement in accordance with its terms. <br />This Agreement has been val.idty executed by an authorized representative <br />of the contractor and constitutes a vatid and Legaity binding and <br />enforceabte obligation of Contractor. <br />The contractor has or witt obtain prior to the commencement date such <br />[icenses, permits and other authorizations from federat, state and othergovernmentat authorities, as are necess ary f or the performance of its <br />obtigations under this Agreement. <br />The contractor is not in viotation of any appl,icabl.e [aw, ordinance or <br />regulation the consequence of which witt or may materiatty affect <br />contractor's abitity to perform its obtigations under this Agreement.
