12.2 The county may, at any time, by written notice thereof to contractor ("change Notice,,)makeschangesintheWorkWithinthegeneratscopeofthis Agreement, inctuding, but not timited to: (a) changes in' revisions to' substitutions for, additions to or detetions of any Work; (b) changes in schedute;and(c)acce[eration,dece[erationorsuspensionofperformanceof anYWork. 12.3 lf any change in the Work causes an increase or decrease on Contractor'S cost of, or the time required for, performance of the Work, an equitabte adjustment in the compensation to contractor and in the schedute for the performance of theWorkshal'tbemadetoreftectsuchanincreaseordecrease. 12.4 Notwithstanding any dispute or detay in arriving at a mutuatl'y acceptabl'e equitable adjustment, contractor shatl' proceed in accordance with al't change Notices. The contractor must, within thirty (30) days after receipt of any ChangeNoticethatdoesnotSetforthanyacceptabteadjustment,submitto theCountyawrittenstatementsettingforthanyadjustmentcLaimed' 12.5 lf any change resutts in a decrease in the work performed' contractor shaLi be entitl'edtocompensationassociatedwithchangingtheWork,suchasrevising designatreadycompleted,revisingcatcul.ationsatreadyperformed,and revising documents' 1 3. f ermilrat jgnlsr De"Lault : lf the contractor defautts by faiting to perform any of the obtigations "l:n:11::ment or becomes insolvent or is dectared bankrupt or commits any act of bankruptcy or insolvency or makes an assignment for the benefit of creditors, the county may' by depositing written notice to the contractor in the U.S. mail., postage prepaid, terminate the Agreement' and at the county,s option, obtain performance of thswork elsewhere' lf the Agreement is terminated for defautt, the contractor shatt not be entitted to receive any further payments under the Agreement until. al.l. work catLed for has been futty performed' Any extra cost or damage to the County resutting f rom such defau|'t(s) shal'l' be deducted f rom any money due or coming due to the contractor. The contractor shatt bear any extra expenses incurred by the county in compl.eting the work, and att damage sustained, or which may be sustained by the County by reason of such defautt' lf a notice of termination for defautt has been issued and it is I'ater determined for any reason that the contractor was not in default, the rights and obligations of the parties shal'l be the same as if the notice of termination had been issued pursuant to the Termination for Public Convenience ParagraPh hereof' 1 4.
