Code of F'ederal Regulations, Departtnent ol'l'tanspoflation, <br />Subtitlc A, Otfice of thc Secretary. Part 21, Non-discrimination in F'ederally Assisted <br />Progrums of thc Department of 'l'ransportation-Effcr:tuation of Titlc Vl of the Civil Rights <br />Act of 1964, and as said Regulations may be amended. <br />It is the policy of the Departrnent olTransportation that minority busincss enterprise as <br />defined in 49 CF'R Paft 46, i.c., firms owncd and controlled by minorities; firms owned and <br />controlled by women and firms owncd and controlled by financially disadvantagcd <br />persons; shall have the maximum opportunity to participate in the perfonnance of <br />Agreements as dctined in 49 CFR Section 23.-5. Consequently, this Agreement is subject <br />to 49 CFR Parl23 as applicable. <br />L,ESSEE hereby assures that no person shall be excluded fnrm participation in, dcnied the <br />benefits of or otherwise discriminatcd against in connection with the award and <br />performance of any contract, including leases and agreements, covered by 49 CFR Par|23 <br />on the grounds of race, color, national origin or sex. <br />LIISSEE hereby assures that it will include the above clauses in all sub-leases and cause <br />sub-tenants to similarly include clauses in further sub-leases or partial assignments. <br />10. Assignment, Subleasing and Renting. <br />Except as provided in this Section 10, l,essee shall not scll, assign, sublct, transfer, mortgage, <br />pledge, hypothecate or encumber this Lease or any interest therein, nor rent or sublet the whole or <br />any part of the Premises, nor shall this t,ease or any interest he re under be assignable or transferable <br />by operation of law or by any process or proceeding of any coutt, or otherwise, without the prior <br />written consent of Lessor, which consent shall not be unreasonably withheld or delayed. Month- <br />to-Month leases arc not assignablc. <br />l0.t Assignment by Lessee . Upon receipt of Lessor's prior written consent and as <br />otherwise provided in this Section 10, Lessee shall havc thc right to fully or partially assign <br />its rights under the Lease. Lessor reserves the right to rcf'use to give such consent if, in <br />l,essor's reasonable business judgment the proposed assignee is not financially or <br />otherwise reasonably capable of fully performing thc obligations of l.essee under this <br />[,ease; or that the proposed assignee's use of the Premises Would result in the Premises or <br />lmprovements bcing used in contravention of the terms of this [,ease.
