<br /> <br />Property Exchange Agreement - 16 <br /> <br />already occurred pursuant to the Agreement as a remedy, and the only remedy available will be <br />to seek monetary damages. <br /> <br />Section 11. Return of Information. If this Agreement is terminated without Closing having <br />occurred, then promptly after such termination, each Party shall deliver to the other Party legible <br />copies of all Tests, Property Surveys, studies, reports, and other written materials obtained or <br />produced with respect to its inspection and review pursuant to this Agreement of any of the <br />Exchange Properties. <br /> <br />Section 12. No Brokers. The Parties agree that there are no brokers involved in connection <br />with this exchange. <br /> <br />Section 13. Tax Effect. No Party has made or is making any representations to the other <br />Parties concerning any of the tax effects of the transaction provided for in this Agreement. No <br />Party shall be liable for or in any way responsible to any other Parties because of any tax effect <br />resulting from the transaction provided for in this Agreement. <br /> <br />Section 14. Effective Date. The “Effective Date” shall be the day on which the last of the <br />three Parties executes this Agreement. <br />
