<br />required to ensure full compliance with local, state and federal laws prohibiting discrimination in employment.
<br />21.2 Contractor will not discriminate against any recipient of any services or benefits provided fcr
<br />under this Agreement mnthe grounds ofage, race, creed, color, national origin, citizenship orimmigration s(ato'
<br />sex, sexual orientation, marital status, honorably discharged veteran ormilitary status, or the presence of cif
<br />sensory, mental o/ physical disability o, the use of trained dog guide or service animal by a person vvith a
<br />21.3 Ifany assignment and/or subcontracting has been authorized bythe County, said assignment mr
<br />subcontract shall include appropriate safeguards against discrimination.
<br />22. Waiver: The waiver of any default or breach of this Agreement, or the failure of a party to enforce
<br />any provision hereof or to exercise any right or privilege hereunder, shall not be deemed to waive any prior or
<br />subsequent default or breach, the enforcement of any provision hereof, or the exercise of any right or privilege
<br />hereunder, unless otherwise stated in a writing, signed by the parties hereto.
<br />23. The headings of sections and paragraphs of this Agreement are for convenience of
<br />reference only and are not intended torestrict, affect, orbeofany weight inthe interpretation orconstruction mf
<br />the provisions ofsuch sections o,paragraphs.
<br />24. Survival: The provisions of paragraphs 2,I������14,1�16,D,19,Dl2�24,and 28 of
<br />these General Terms and Conditions shall survive the completion, expiration, termination or cancellation of this
<br />Agreement for any reason.
<br />25. This Agreement constitutes the entire agreement between the parties and
<br />supersedes any and all other agreements, understandings, negotiations and discussions, oral or written, expres--'
<br />o, implied, regarding the work tn be performed hereunder. The parties agree that noother nep^esentiations
<br />inducements, promises, agreements, or warranties relating to this Agreement, oral or otherwise, have been rnac
<br />between the parties. Except as provided elsewhere in this Agreement, no modification or waiver o(
<br />Agreement shall be valid or binding unless in writing and signed by the parties.
<br />26. Severab@i: If any term or condition of this Agreement or the application thereof to any person(s)
<br />or circumstances is held invalid, such invalidity shall not affect other terms, conditions or applications which can
<br />begiven effect without the invalid term, condition orapplication. Tothis end, the terms and conditions ofthis
<br />Agreement are declared tobeseverable.
<br />27.T1me: Time is of the essence in the performance of this Agreement unless otherwise agreed between
<br />the parties inasigned writing.
<br />28. Construction: This Agreement has been mutually reviewed and negotiated by the parties, and should
<br />not beconstrued against the drafter,
<br />29. Aimement Not for Benefit of Thir4 Parties: This ARveementioentered into solely for the benefit of
<br />the parties hereto and vests no rights in, nor is it enforceable by, any third parties.
