MUTUAL RESCISSION AND RELEASE OF <br />WATER RIGHT PURCHASE AND SALE AGREEMENT <br />This MutuaI Rescission and Retease Agreement ("Agreement") is made and entered <br />entered into this \f.' day of flout,nrF,c- ,2025, by and between KITTITAS COUNTY, a <br />pol,iticaL subdivision of the State of Washington ("County"), and DAVID W. ADAMS AND <br />LEANN T. ADAMS, husband and wife, and WILLIAM S. CRAIG and CONSTANCE M. CRAIG, <br />husband and wife and/or assigns ('Adams/Craig"). <br />FactuaI Background <br />A. Adams lCraigentered into a Water Right Purchase and Sa[e Agreement with the County <br />on March 14,2023, as amended on March 4,2025. Adams/Craigwere the Setlers of water <br />rights, and the County was the Buyer. The Water Rights Purchase and Sale Agreement <br />subject to mutuaI rescission through this Agreement is attached and incorporated into this <br />Agreement as Exhibit A. <br />B. The Water Right Purchase and Sate Agreement did not ctose, and both the County and <br />Adams/Craig now wish to terminate the Water Rights Purchase and Sate Agreement. <br />C. This Agreement is a mutual agreement between the County and Adams/Craig to rescind <br />the prior Water Rights Purchase and Sate Agreement and to retease al[ parties to that prior <br />Water Rights Purchase and Sale Agreement of any and atl obtigations under that <br />agreement. <br />Agreement <br />1. Mutual Rescission of Water Rights Purchase and Sate Agreement <br />Adams/Craig and County hereby agree to mutualty cancel and rescind the prior Water <br />Rights Purchase and Sa[e Agreement. The Water Rights Purchase and Sate Agreement shal.l. <br />be considered nutl and void as of the effective date of this Agreement. <br />2. Mutual Retease of Obtigations and Liabil,ities <br />Atl. parties to the Water Rights Purchase and Sate Agreement are relieved of any further <br />obl.igations, duties, or liabitities arising out of that agreement, except as expressly stated <br />herein. <br />3. Disposition of Earnest Money <br />The parties agree that any Earnest Money deposited by the County shatl. be returned to the <br />County within 15 days of this Agreement. <br />1
