TERMS AND CONDITIONS OF SALE AND USE THESE TERMS AND CONDITIONS OF SALE AND USE (this "Aoreement") are entered into made effective as of September 18,2025 (the "Effective Date") by and between lntegrity Communications Solutions, LLC, a Colorado limited liability company with its principal address at 4040 E. Bijou Street Suite 120, Colorado Springs, CO 80909 ("lnteqrity"); Command Sourcing, lnc., a California corporation with its principaladdress at6100 Horseshoe Bar Road, Suite M28, Loomis, CA 95650 ('Command'); and Kittitas County Sheriffs Office, Kittitas County, Washington with its principal address at205 W 5th Ave, Suite 1, Ellensburg, WA 98926 ("Customef' or'gQqn$'). WHEREAS Command wishes to sell to Customer certain lQ Radar, Model BLDS60-A product(s), a biometric life detection radar unit manufactured by lntegrity (the'hlegdtv ESU!pmen!"), and in connection with that sale the parties wish to agree on certain terms and conditions that apply to the sale and use of the lntegrity Equipment. NOW THEREFORE lntegrity, Command and Customer hereby agree as follows: 1. InteqritvEquipment. 1.1. lnstallation. Customer elects to engage lntegrity to carry out installation, subject to an additional charge to be agreed upon in writing prior to work commencement. 1.2. lnteqritv Assistance. On installation of the lntegrity Equipment, lntegrity will provide basic training to Custome/s designated personnel. The lntegrity Equipment will be configured to generate alerts directly to Customer's designated personnel based on pre-set biometric and motion thresholds, as provided in the applicable documentation. 1.3. Maintenance: Alteration. Customer will notify lntegrity in writing if the lntegrity Equipment fails to operate according to its specifications. lntegrity will use commercially reasonable efforts to maintain and repair the lntegrity Equipment so that it functions in the ordinary course. lntegrity shall be responsible for costs and expenses incurred by lntegrity to maintain and repair lntegrity Equipment that is not functioning as a result of ordinary wear and tear from proper use. lntegrity reserves the right to charge Customer a reasonable service fee for all other costs and expenses incurred by lntegrity in the maintenance and repair of the lntegrity Equipment. Customer shall not, without lntegrity's prior written consent, make any changes or substitutions to the lntegrity Equipment. 1.4. Relocation of lnteqritv Equipment: lntegrity Equipment is delivered for use only at the project location agreed to in writing by lntegrity and Command ('Prgiect Location"). Customer may relocate the lntegrity Equipment to a new Project Location so long as Customer notifies lntegrity and Command in writing (email is sufficient) prior to relocating the lntegrity Equipment and identifies the new Project Location in reasonable detail (including, if requested, a pin drop location). Relocation of lntegrity Equipment may cause service shortfalls or failures in the Monitoring Services and may require reconfiguration of the lntegrity System. Notwithstanding any approval by lntegrity, Customer assumes all risks incurred as a result of the relocation of lntegrity Equipment. 2. Monitorinq Services.Monitorinq Services - General. lntegrity will provide its standard monitoring services ('N4onitorinq Services") in connection with the lntegrity Equipment, during the Service Period as provided in Section 5.1 below and subject to Customer's maintenance at all times of lntegrity's connection by internet to the lntegrity Equipment. Promptly after the Effective Date, lntegrity will assist Customer with the installation and configuration of the lntegrity Equipment according to lntegrity's standard procedures. Authorized Use of Monitorinq Services. Customer may permit those authorized employees and personnel designated by Customer ('nuthorizec!_Us9tg") to access and use the Software and the Monitoring Services only as permitted under this Agreement and in accordance with the Documentation. Customer shall be exclusively responsible for the supervision, management and control of its use of the Software and the Monitoring Services. To access and use the Monitoring Services, Authorized Users must accept the terms of use applicable to the lntegrity Portal and the lntegrity App (as amended by lntegrity from time to time, the "Electronic Terms of Use"). Customer is solely responsible for the selection and training of its Authorized Users, for obtaining all consents and giving all notices required to be obtained or given by Customer to Authorized Users under applicable laws, and for all acts and omissions that occur under such person's access credentials. Customer acknowledges that any breach of the Electronic Terms of Use by an Authorized User will be deemed a breach of this Agreement by Customer. lntegrity 1 492s-8427-Or82\7L
