11.7. Expenses: Each party shall bear its own expenses incurred with respect to the <br />preparation of this Agreement and the consummation of the transactions contemplated hereby. <br />11.8. Arbitration: <br />(a) If at any time there shall be a dispute arising out of or relating to any <br />provision of this Agreement, any Transaction Document or any agreement <br />contemplated hereby or thereby, such dispute shall be submitted -for binding and <br />final determination by arbitration in accordance with the regulations then obtaining <br />of the American Arbitration Association. Judgment upon the award rendered by <br />the arbitrator(s) resulting from such arbitration shall be in writing, and shall be final <br />and binding upon all involved parties. The site of any arbitration shall be at a site <br />agreed to by the parties and the arbitration decision can be enforced in a "court of <br />competent jurisdiction". <br />(b) This arbitration clause shall survive the termination of this <br />Agreement, any Transaction Document and any agreement contemplated hereby <br />or thereby. <br />11.9. Waiver of Jury Trial; Exemplary Damages: THE PARTIES HERETO HEREBY <br />WAIVE THEIR RIGHTS TO TRIAL BY JURY WITH RESPECT TO ANY DISPUTE ARISING <br />UNDER THIS AGREEMENT OR ANY TRANSACTION DOCUMENT. NO PARTY SHALL BE <br />AWARDED PUNITIVE OR OTHER EXEMPLARY DAMAGES RESPECTING ANY DISPUTE <br />ARISING UNDER THIS AGREEMENT OR ANY TRANSACTION DOCUMENT <br />CONTEMPLATED HEREBY. <br />11.10 Cooperative Purchases: This Agreement may be used by other government <br />agencies. Company has agreed to offer similar serves to other agencies under the same or similar <br />terms and conditions as stated herein except that the revenue share percentage (Compensation) <br />may be negotiated between the Company and other agencies based on the specific revenue <br />expectations, agency reimbursed costs, and other agency requirements. The Client/County/or <br />Client/Protection District will in no way whatsoever incur any liability in relation to specifications, <br />delivery, payment, or any other aspect of purchase by other agencies. <br />Signatures on following page: <br />III <br />
