Records Maintenance The GRANTEE shall maintain books, records, documents, data and other evidence relating to this Grant Agreement and performance of the services described herein, including but not limited to accounting procedures and practices that sufficiently and properly reflect all direct and indirect costs of any nature expended in the performance of this GRANTEE' The GRANTEE shalt retain such records for a period of six (6) years following the date of final payment' At no additional cost, these records, including materials generated under the Grant Agreement, shall be subject at all reasonable times to inspe-tion, review or audit by CoMMERCE, personnel duly authorized by coMMERCE, the office of the state Auditor, and federal and state officials so authorized bY law, regulation or agreement. lf any litigation, claim or audit is started before the expiration of the six (6) year period' the records shall be retained ,niit "lt litigation, claims, or audit findings involving the records have been resolved' 16. Reoistration with Department of Revenue and secretarv of state lf required by law, the GRANTEE and its subgrantees and subcontractors shall complete registration with the Wainlngion State Department of Reienue. Nonprofit and for-profit businesses must also be registered *itn ti" Washington Secretary of State and current with all required filings' 17. Riqht of lnsPection At no additional cost, the GRANTEE shall provide right of access to its facilities to COMMERCE, or any of its officers, or to any other "rinoiirlo'agent or'official of the State of Washington or the federal government, at all reasonable times, in order-to monitor and evaluate performance, compliance, and/or quality assurance under this Cranl Alreement. At no additional cost, the GRANTEE shall also provide any documents retated to this Crant lgreement to COMMERCE upon request to assist COMMERCE in ihe periodic monitoring of this Grant Agreement' 18. Savinqs ln the event funding from state, federal, or other sources is withdrawn, reduced, or limited in any way after the effective date of this Grant Agreement and prior to normal completion, COMMERCE may suspend or terminate the Grant Agreement under the ''Termination for Convenience" clause, without the ten calendar day notice requirehent. ln lieu of termination, the Grant Agreement may be amended to reflect the new funding limitations and conditions' 19. Severabilitv The provisions of this Grant Agreement are intended to be severable. lf any term or provision is illegal or invalid for any reason whatsoever, such illegality or invalidity shall not affect the validity of the remainder of the Grant Agreement' 20. Site Securitv \A/hile on CoMMERCE premises, GRANTEE, its agents, employees, and/or Subgrantee(s)/Subcontractor(s) shall conform in all respects with physical' fire' and other security policies or regulations. 21 . Su bqrantinq/Subcontractinq The GRANTEE may only subgrant and/or subcontract work contemplated under this Grant Agreement if it obtains the prior written approval of COMMERCE' lf COMMERCE approves subgranting and/or subcontracting, the GRANTEE shall maintain written procedures related io subgranting andior subcontracting, will enter written subgrants/subcontracts prior to any work being perforireO, anO witt maintain copies of all subgrant(s) and/or subcontract(s) and records related to subgrant(s) and/or subcontract(s).
