21.3 If any assignment and/or subcontracting has been authorized pursuant to this Agreement, said assignment or subcontract shall include appropriate safeguards against discrimination. 22. Waiver. The waiver of any default or breach of this Agreement, or the failure of a party to enforce any provision hereof or to exercise any right or privilege hereunder, shall not be deemed to waive any prior or subsequent default or breach, the enforcement of any provision hereof, or the exercise of any right or privilege hereunder, unless otherwise stated in a writing, signed by the parties hereto. 23. Professional Responsibility. Contracting Attorney shall adhere to the Rules of Professional Conduct promulgated by the Washington Supreme Court and otherwise hold themselves up to the highest ethical standard of professional responsibility and conduct. 24. Physical Office/Communications and Support Staff. The Contracting Attorney will maintain a physical office or have access to an office that accommodates confidential meeting with clients; maintain a postal address and adequate telephone service to ensure prompt response to client contact and will provide sufficient support staff to provide for effective assistance of counsel. 25. Choice of Law and Venue. The parties agree that this contract shall be governed by Washington State law and any action for breach or other remedy at law or equity shall be instituted only in the Superior Cour of Kittitas County. 26. Severance Clause. If any term or condition of this Agreement or the application thereof to any person(s) or circumstances is held invalid, such invalidity shall not affect other terms, conditions or applications which can be given effect without the invalid term, condition or application. To this end, the terms and conditions of this Agreement are declared to be severable. 27. Construction: This Agreement has been mutually reviewed and negotiated by the parties, and should not be construed against the drafter. 28. Agreement Not for Benefit of Third Parties: This Agreement is entered into solely for the benefit of the parties hereto and vests no rights in, nor is it enforceable by, any third parties.
