Modifications: 12.1 Either party may request changes in the Agreement. Any and aLt agreed modifications shal,l. be in writing, signed by each of the parties. 12-2 The County may, at any time, by written notice thereof to Contractor ("Change Notice") makes changes in the Work within the generaI scope of this Agreement, incl.uding, but not Limited to: (a) changes in, revisions to, substitutions for, additions to or detetions of anyWork; (b)changes in schedul.e; and (c) acceteration, dece[eration or suspension of performance of anyWork. 12.5 lf any change in the Work causes an increase or decrease on Contractor's cost of, or the time required for, performance of the Work, an equitabte adjustment in the compensation to Contractor and in the scheduLe for the performance of the work shal.t be made to reftect such an increase or decrease. 12.4 Notwithstanding any dispute or del.ay in arriving at a mutuaLty acceptabl'e equitabte adjustment, Contractor shal.l. proceed in accordance with al't Change Notices. The Contractor must, within thirty (30) days after receipt of any Change Notice that does not set forth any acceptabl.e adjustment, submit to the County a written statement setting forth any adjustment ctaimed- 12.5 lf any change resul.ts in a decrease in the Work performed, Contractor shat[ be entitl,ed to compensation associated with changing the Work, such as revising design a1ready compl.eted, revising catcul.ations aLready performed, and revising documents. 13. Termination for Defautt: lf the Contractor defautts by fail.ing to perform any of the obl.igations of the Agreement or becomes insol.vent or is decl.ared bankrupt or commits any act of bankruptcy or insotvency or makes an assignment for the benefit of creditors, the County may, by depositing written notice to the Contractor in the U.S. mail., postage prepaid, terminate the Agreement, and at theCounty'soption,obtainperformanceoftheworketsewhere. lftheAgreementis terminated for defautt, the Contractor shal.[ not be entitl.ed to receive any further payments undertheAgreementuntil.al,tworkcal.l,edforhasbeenfuttyperformed.Anyextracostor damage to the County resutting from such defautt(s) shal.t be deducted from any money due or coming due to the Contractor. The Contractor shal,t bear any extra expenses incurred by the County in compl.eting the work, and al.l. damage sustained, or which may be sustained by the County by reason of such defautt.
