5.1. Agreement Term — Service Period. The term of this Agreement shall commence on the Effective Date
<br />and, unless terminated earlier as provided herein, shall continue for so long as all applicable fees for Customer's
<br />use have been paid (the "Service Period").
<br />5.2. Event of Default. Any of the following events or conditions shall constitute an "Event of Default" under this
<br />Agreement: (a) if Customer is in material breach of this Agreement and fails to cure such breach, if curable, within
<br />ten (10) days after notice thereof, or (b) if Customer breaches any other agreement between Customer and Integrity.
<br />5.3. Remedies. If an Event of Default occurs, Integrity shall have the right to exercise any one or all of the
<br />following remedies (which shall be cumulative) upon written notice to Customer: (a) to terminate this Agreement;
<br />(b) to cease performing the Monitoring Services and to disable access to the Integrity Portal and/or the Integrity
<br />Apps; (c) to terminate any and all other agreements with Customer; and/or (d) to pursue any other remedy permitted
<br />at law or in equity. In the event of a default by Integrity or Customer, Command shall have the right to terminate its
<br />obligations under this Agreement without liability.
<br />Role of Command; Limited Warrant • Disclaimers,• Etc.
<br />6.1. Role of Command. For clarity, Command acts solely as a reseller under this Agreement, and accordingly
<br />has no responsibility for design, manufacture, installation, monitoring, data handling, or performance of the Integrity
<br />Equipment or Services.
<br />6.2. Limited Warranty. Integrity warrants to Customer that the Integrity Equipment will be new and conveyed
<br />with good title, free and clear of all encumbrances and that the Integrity System will conform to the applicable
<br />product specifications (collectively, the "Product Warranty") for twelve (12) months after the delivery of the
<br />applicable Integrity Equipment. For any units of Integrity Equipment that do not operate in accordance with the
<br />Product Warranty, Customer shall be entitled, without additional charge, to receive one (1) replacement unit per
<br />radar unit per year during the Service Period. For example, for a unit that is under a contract with a three (3)-year
<br />term, if the unit is inoperable or malfunctioning for any reason, it will be replaced without charge up to three (3)
<br />times.
<br />6.3. DISCLAIMERS. EXCEPT AS EXPRESSLY PROVIDED IN SECTION 6.2 ABOVE, THE INTEGRITY
<br />EQUIPMENT, THE MONITORING SERVICES, AND THE INTEGRITY SYSTEM ARE PROVIDED ON AN "AS IS"
<br />BASIS, WITHOUT ANY ADDITIONAL WARRANTIES. INTEGRITY MAKES NO REPRESENTATION OR
<br />WARRANTY WITH RESPECT TO THE SUITABILITY OR DURABILITY OF THE INTEGRITY EQUIPMENT,
<br />MONITORING SERVICES OR SOFTWARE, THE ABSENCE OF ANY CLAIM OF INFRINGEMENT OR THE LIKE,
<br />OR ANY OTHER REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO THE
<br />INTEGRITY EQUIPMENT OR MONITORING SYSTEMS INCLUDING, WITHOUT LIMITATION, ANY IMPLIED
<br />WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. INTEGRITY DOES
<br />NOT WARRANT THAT USE OF THE MONITORING SERVICES OR THE SOFTWARE WILL BE
<br />UNINTERRUPTED OR ERROR -FREE OR WILL MEET CUSTOMER'S REQUIREMENTS, AND INTEGRITY
<br />MAKES NO WARRANTY REGARDING THE SECURITY, ACCURACY OR INTEGRITY OF ANY DATA OR
<br />INFORMATION PROVIDED IN CONNECTION WITH THE INTEGRITY SYSTEM.
<br />6.4. CUSTOMER ACKNOWLEDGMENT. CUSTOMER EXPRESSLY ACKNOWLEDGES THAT THE
<br />INTEGRITY SYSTEM IS A SUPPLEMENTAL MONITORING TOOL AND IS NOT A MEDICAL DEVICE OR
<br />HEALTH MONITOR OR A SUBSTITUTE FOR HUMAN SURVEILLANCE AND INTERVENTIONS, STAFF
<br />CHECKS, GUARD ROUNDS, VIDEO AND AUDIO MONITORING, MEDICAL CHECKS, OR OTHER HEALTH,
<br />SAFETY AND SECURITY PROTOCOLS AT CUSTOMER'S FACILITY, AND CUSTOMER SHALL AT ALL TIMES
<br />BE SOLELY RESPONSIBLE FOR THE PERFORMANCE OF ALL SUCH PROTOCOLS. CUSTOMER
<br />ACKNOWLEDGES THAT INTEGRITY AND COMMAND SHALL HAVE NO LIABILITY TO CUSTOMER OR ANY
<br />OTHER PERSON OR ENTITY FOR, AND THAT, AS BETWEEN THE PARTIES, CUSTOMER ASSUMES ALL
<br />RISK WITH REGARD TO, ANY PERSONAL INJURY, DEATH, OR DAMAGE TO PROPERTY ASSOCIATED IN
<br />ANY WAY WITH THE USE OF THE INTEGRITY SYSTEM, WITH ANY DATA OR INFORMATION PROVIDED
<br />THEREBY, OR WITH THE HEALTH, SAFETY OR SECURITY OF ANY PERSON WITH WHOM THE INTEGRITY
<br />SYSTEM IS USED, EXCEPT AS STATED WITHIN SECTIONS 6.5, 6.6, AND 6.7 HEREIN.
