PROFESSIONAL SERVICES AGREEMENT <br />Between <br />KIfiITAS COUNTY <br />and <br />HopeSource <br />Gontract # PHHAHC-004 <br />For <br />Pear[ Street Affordabte Housing <br />This Agreement is made by and between Kittitas County (hereinafter "the County") and <br />HopeSource UBI #600-263-085 (hereinafter "Contractor"). The County and Contractor agree <br />as fottows: <br />o Generat Conditions <br />o Exhibit A (Scope of Work) <br />o Exhibit B (Compensation) <br />o Exhibit C (Proof of lnsurance) <br />o Exhibit E (Reporting) <br />copies of which are attached hereto and incorporated herein by this reference as futl,y as if set <br />forth herein. <br />The term of this Agreement shatl commence on May 1st, 2025. and continue until April 30th. <br />2026. Any party may terminate this Agreement by giving thirty (30) days' notice in writing <br />either personatty detivered or maited postage-prepaid by certified mait, return receipt <br />requested, to the party's last known address for the purposes of giving notice under this <br />paragraph. <br />Contractor acknowtedges and by signing this Agreement agrees that the lndemnification <br />provisions set forth in Paragraphs 7 (lndependent Contractor), 9 (Taxes), 15 (Defense and <br />lndemnityAgreement),21 (Patent/Copyright lnfringement)and 24 (Confidentiatity), are totatty <br />and fulty part of this Agreement and have been mutuatty negotiated by the parties. <br />Kittitas Cou nty ProfessionaI Services Agreement <br />Page 1 of 20
