iv. Contractor is duly registered to do business in the State of Washington. <br />10. The Work. Contractor agrees to furnish all items necessary to perform all of its Work within <br />the scope of the Work, all in good workmanlike manner and in strict accordance with this <br />Agreement. The design for the Project must be submitted to the County for review and approval. <br />Design must include 20% excess capacity for future growth of the network. For example, a MST <br />that allocates four (4) County strands to serve existing premise must have six (6) County strands <br />for growth. <br />County Final Approval of Design Services. Contractor shall coordinate the Design services with <br />the County, and the County shall have final review and approval rights over any and all Design <br />services. Upon completion of the Design services, the final County system design, as approved <br />by the County (the "Final Design"), shall be deemed part of this Agreement. <br />"Reserved Dark Fiber" means County System Dark Fiber strands not made subject to this <br />Agreement that are reserved for use by the County for internal government use only. Reserved <br />Dark Fiber shall be reserved and held for the County's sole and exclusive use and control and <br />will consist of four (4) strands of Dark Fiber delivered to predetermined access points. <br />11. Safety. <br />A) Contractor shall take all reasonable precautions for the safety of, and shall <br />provide all reasonable protection to prevent damage, injury, or loss to: <br />i. all employees on the Work and all other persons who may be affected <br />thereby; <br />ii. all the Work and all materials and equipment to be incorporated therein, <br />whether in storage on or off -the site, under the care, custody or control of <br />Contractor or any of its sub -contractors; and <br />iii. other property at the site or adjacent thereto, including trees, shrubs, <br />lawns, walks, pavements, roadways, structures, and utilities not designated <br />for removal, relocation or replacement in the course of construction. <br />B) Contractor shall give all notices and comply with all applicable laws, ordinances, <br />rules, regulations, and lawful orders of any public authority bearing on the safety <br />of persons or property or their protection from damage, injury or loss. <br />C) Contractor shall erect and maintain, as required by existing conditions and <br />progress of the Work, all reasonable safeguards for safety and protection, <br />including posting danger signs and other warnings against hazards, promulgating <br />safety regulations, and notifying owners and users of adjacent utilities. <br />D) When the use or storage of hazardous materials or equipment is necessary for the <br />execution of the Work, Contractor shall: (1) exercise the utmost care and shall <br />Professional Services Agreement <br />Page 16 of 35 <br />
