funding outside of the annual appropriations process may be made by the KCEDP <br /> and approved at the discretion of the COG. <br /> B. Financial Oversight:The COG shall ensure that all funds are used in accordance <br /> with RCW 82.14.370 and the mission of the KCEDP. Contracts shall be used to <br /> support all COG appropriations to the KCEDP.The terms of the contracts will outline <br /> necessary reporting and reimbursement requirements for use of the funds. <br /> 6. GOVERNANCE AND ADMINISTRATION <br /> 6.1 Oversight by COG:The COG shall have ultimate authority over the KCEDP, including: <br /> A. Approve the KCEDP's annual work programs in support of the ultimate execution of <br /> the Plan. <br /> B. Modify or dissolve the KCEDP, subject to the terms of this Agreement <br /> C. Resolve disputes among KCEDP members, or between the KCEDP and the COG. <br /> 6.2 Staff Support:The COG shall hire and supervise staff position(s)to coordinate and <br /> facilitate the work of the KCEDP, serve as a liaison between the partnership and the COG, <br /> perform Economic Development activities as directed by COG, and manage contracts with <br /> external entities (e.g., consultants) as specified by COG to support KCEDP objectives. <br /> Additional staff or contractors may be engaged as needed, subject to funding availability <br /> and approval of the COG. <br /> 6.3 Decision-Making: The KCEDP shall operate on a collaborative action model, seeking <br /> consensus among members whenever possible. In the event of a dispute or need for formal <br /> decision-making,the COG shall have final authority. Assigned staff shall be responsible for <br /> facilitation of KCEDP meetings and any agenda or staff prep needed to conduct the <br /> meetings. <br /> 7.TERM AND TERMINATION <br /> 7.1 Term:This Agreement shall take effect upon execution by all Parties and shall remain in <br /> effect until terminated as provided below. <br /> 7.2 Termination <br /> A. By Mutual Agreement: The Parties may terminate this Agreement by unanimous <br /> written consent. <br /> B. By Individual Party: Any Party may withdraw from this Agreement with six(6) months' <br /> written notice to the other Parties. <br /> C. By COG: The COG may dissolve the KCEDP if it determines that the Partnership is no <br /> Longer fulfilling its mission or is financially unsustainable, subject to consultation <br /> with the Parties. <br /> 5 <br />
