For purposes of this sectiou, Subcontractor tneans any subcontractor <br />working on the Contract, at any tier and regardless of status as certified WMBE or Non-WMBE. <br />The CONTRACTOR shall: <br />a. Register and enter all required Subcontractor infonnation into Access Equity no later than <br />fifteen (15) days after ECOLOGY creates the file (Contract Record) in Access Equity. <br />b. Cornplete the reqr"rired user training (two (2) one-hour online sessions) no later than twenty <br />(20) days after ECOLOGY creates the file (Contract Record) in Access Equity. <br />c. Report the amount and date of all payments: <br />i. Received from ECOLOGY, and <br />ii. Paid to Subcontractors, uo later than fifteen ( 1 5) days after the issuance of each <br />payment rnade by ECOLOGY to the Contractor, unless otherwise specified in writing <br />by ECOLOGY, except that the Contractor shall mark as "Final" and report the final <br />Subcontractor payments into Access Equity no later than thirty (30) days after the <br />final payment is due the Subcontractor(s) under the Contract, with all payrnent <br />irrformation entered no later than sixty (60) days after end of fiscal year, June 30. <br />d. Monitor contract payments and respond promptly to any requests or instructions from <br />ECOLOGY or system-generated messages to check or provide infonnation in Access <br />Equiry. <br />e. Coordinate with Subcontractors, or ECOLOGY, when necessary, to resolve promptly any <br />discrepaucies between reported and received payments. <br />f. Require each Subcontractor to: <br />i. Register in Access Equity and complete the required user training. <br />ii. Verif, the amount and date of receipt of each payment frorn the Contractor or a <br />lrigher tier Subcontractor, if applicable, through Access Equity. <br />iii. Report payments made to any lower tier Subcontractors, if any, in the same manner <br />as specified herein. <br />iv. Respond promptly to any requests or instructions from the Contractor or system- <br />generated messages to check or provide infonnation in Access Equity; and <br />v. Coordinate with Contractor, or ECOLOGY, when necessary, to resolve promptly any <br />discrepancies between reported and received payments. <br />I9. SUSPENSION FOR COI\TVEMENCE <br />ECOLOGY may suspend this Agreement or any portion thereof for a temporary period by providing <br />written notice to the CONTRACTOR a minimum of seven (7) calendar days before the suspension date. <br />CONTRACTOR shall resume performance on the first business day following the suspension period <br />runless another day is specified in writing by ECOLOGY prior to the expiration of the suspension period. <br />20. TERMINATION FOR CAUSE <br />If for any calrse, either party does not fulfill in a tirnely and proper manller its obligations under this <br />Agreernent, or if either party violates any of these terms and conditiotrs, the aggrieved party will give the <br />other parly written notice of such failure or violation. The respotrsible party will be given the opportunity <br />to correct the violation or failure within fifteen ( I 5) business days. If failure or violation is not corrected, <br />this Agreernent may be tenninated irnmediately by written notice of the aggrieved party to the other. <br />7 <br />Version 4/14/25 (Access Equity)
