6.4 Assignment. No assignment of the Agreement shall take effect without the written agreement <br />of the HCA. <br />6.5 Termination Notice. Notwithstanding the termination provisions set forth in the Agreement, <br />Provider and Carrier shall provide at least ninety (90) days advance notice to the other party of <br />intent to terminate the Agreement without cause. Such notice shall be in accordance with the <br />terms of the Agreement. <br />6.6 Health Care Acquired/Preventable Conditions. Carrier and Provider acknowledge and agree <br />that Carrier is prohibited from making payments to Provider for the provision of medical <br />assistance for health care -acquired conditions and other provider -preventable conditions as <br />may be identified by HCA. As a condition of payment, Provider shall identify and report to <br />Carrier any provider preventable conditions in accordance with 42 CFR § 434.6(a)(12), 42 <br />CFR §438, including but not limited to § 438.3, and § 447.26. <br />UHC/STATF PROGRAMS RFGAPX WA.02.25 <br />43 <br />
