provided by the County or acqulred by Contractor in performance of thls Agreernent, except upon the prlor
<br />wrltten consent of the Klttitas County Prosecuting Attorney or an order entered by a court after havlng acqulred
<br />lurisdiction over the County. Contractor shall lmmediately provlde the County notice of anyJudicial proceedings
<br />seeking dlsclosure of such information, Contractor agrees to indemnifu, defend and hold harmless the County
<br />and lts departments, elected and appointed offlclals, employees. agents and volunteers from all loss or expense,
<br />includlng but not limited to settlements,lud8ments, setoffs, attomeys'fees and costs resultingfrorn Contractofs
<br />breach of thls provislon. Notwlthstanding the foregolng, and to the extent that any lnforrnation obtalned by the
<br />Contractor hereunder is requlred to be shared wlth otherc by the expllclt terms of the Scope of Work, thls
<br />provlslon shall not be construed as prohlbltlng such sharing, provlded there are no appllcable laws or regulatlons
<br />prohlbltlng same.
<br />18. Notlces: Written notices requlred or permltted to be provided by one party to the other party under
<br />this Agreement may be provlded by personal dellvery legal courler serulce, or ceftlfled mail, postage prepaid and
<br />rcturn receipt reguested. Notlce may be provlded by regularffrst class mall lf slmultaneous notice ls provided by
<br />email. Notices given by Contractor shall be provided to the Countfs polnt of contact llsted on page 1 of thls
<br />Agreement, at the address there listed, and to the department head of the county department for which servlces
<br />under thls Agreement arc rendered. Notlces glven by the County shall be provlded to Contractor at Contracto/s
<br />address listed on page I of thls Agreement.
<br />19. Prevalllne Wagg: Where labor to be perfo rmed under thls Agreement is consldered "publlc wor$ as
<br />deflned ln RCW 39.04.010, Contractor shall pay the prevalllng rate of wages to allworkers, laborers, or mechanlcs
<br />employed in the performance of work under thls Agreement ln accordance with RCW 39.12 and the rules and
<br />regulations of the Washington State Department of Labor and lndustries. The schedule of prevailing wage rates
<br />fior the applicable locality or localltles ls determlned by the lndustrial Statistlclan of the Department of labor and
<br />lndustrles. lt ls Contractor's responslblllty to verify the applicable prevaillng wage rate. lt ls understood that
<br />Contractor is responsible for obtalnlng and completlng all required gorremment fiorms relatlng to prevalling wage
<br />and submlttlng same to the proper authorltles. Disputes regardlng prevailing wiige rates shall be referred for
<br />arbitration to the Dlrector of the Department of Labor and lndustrles. The arbltntlon decislon shall be flnal and
<br />concluslve and bindlng on all partles lnvofued ln the dlspute as provlded for ln RCW 39.12.060,
<br />20. Standard of Garc: Contractor shall perform hs dutles hereunder ln a manner conslstent wlth that
<br />degree of care and skill ordlnarlly exerclsed hy memben of the same profession or industry as Contractor currently
<br />practicingorworklngunderslmllarclrcumstances. Contractorshall,wlthoutadditlonalcompensation,correctany
<br />of lts serulces not meeting such a standard.
<br />21. Nondlscrlmlnatlon
<br />?1,t ln the performance of thls Agreement, Contractor wlll not dlscrimlnate agalnst any employee or
<br />appllcant for employrnent on the grounds of age, race, creed, color, natlonal orlgln, cltlzenshlp or immlgration
<br />status, sex, sexual orientatlon, marital status, honorably dlscharged veteran or mllltary status, or the presence of
<br />any sensory, mental or physical disablllty or the use of a tralned dog gulde or servlce animal by a person with a
<br />dlsabllity; provided that the prohibltlon agalnst dlscrlmlnatlon because of such disablllty shall not apply if the
<br />particular dlsability prevents the proper perforrnance of the pafilcular worker involved. Contractor shall ensure
<br />that appllcants are employed, and that employees are treated durlng employrnent, without dlscrlmlnation
<br />becauseofthelrage,race, creed, color, national orlgln,citizenshiporlmmlgratlonstatus,sexrsexualorientation,
<br />maritalstatus, honorablydischargedveteran ormllltarystatus, orthe presence of any sensory mentalor physlcal
<br />dlsabillty or the use of a trained dog gulde or servlce anlmal by a person with a disability. Such requirements
<br />apply, without limltatlon, to the followlng: employment, promotion, demotlon, transfer, recruitment or
<br />recruitment advertlsing, layoff or terminatlon, rates of pay or other forms of compensation, and programs for
