Notwithstandlng the foregoing, lf Wollpoint has a direct contract with the subcontractor, the direct contract shall prevall over this Agreement and ihe iubconkactor shall blll Wellpolnt under the direct contract for any subcontracted services, with tl'ro exception of nursing servlces provided for Home lnfusion Therapy, or unless otherwise agreed to by the parfles. Tax A,qsessment and Penalties. The Wellpoint Rates in this Agreement include all sales and use taxos and other taxes on Provider. revenue, gross earnings, profit$, income and other taxes, charges or assessments of any nature whatsoever (tog^ether with any related interest or penalties) now or hereafter imposed agalnst or collectible by provider with respect to Covered Services, unless otherwise required by Agency pursuant to Relulatory Requiremenis. Neither Provider nor Plan shall add any amount to or deduct any amount from tho Wellpolnt Rates, whether on account of taxes, assessments, tax penalties or tax exemptions. Updatgs.to Welllpoint Rate(s) Based on External SQurces. Unless otherwise requlred by Regulatory Requirements, and notruithstandjng any proprietary foe schodule(s/rato(s)/methodologies, Wellpoint shall use commercially reasonable efforts to update the Wellpoint Rate(s) based on External Sources, which include but are not limited to, i) CMS Medjcare fee schedule(s)/rate(s)/mothodologles; il) Medicaid or Siate Agency fee schedule(s)lrate(s)/methodologies; iii) vendorfee schedule(s)/rate(s)/methodologies; or iv) any other entlty's published fee scheduie(s/rate(s/methoilologies (collectlvely "External Sources") no later than slxty (60) days after Wellpoinfs raceipt of tne flnal fee schedule(s)/rate(s/methodologies change from such Extemal Sources, or on the effecffve date of such flnal fee schedule(s)/rato(s)/methodologies change, whichever ls later. The effectlve date of such final fue schedule(s)/rate(s)/methodologies change shall be the effective date of the change as published by External Sources. Fee schedule(s/late(s)/methodologles will be applied on a prospectlve basis, Claims processed prior to the implementatlon of the new Wellpoint Rate(s) in Wellpoint's payment system shall not be reprocessed,'however, if reprocessing is requlred by Regulatory Requirements, and such reprocessing could result in a potential under and/or over payment to a Provldor, then Plan may reconcile the Claim adjustments to determine the remainlng amount Provider owes Plan, or that Plan owes to Provider. Any resultant overpayment recoveries (i.e. Provider owes Plan) shall .occur automatically without advance notification to Provider. Unless otherwise required by Regulatory Requirements, Wellpoint shatl not be responsible for interest payments that may be the result of a late notincatton n!
