12.2 12.3 12.4 12.5 The county may, at any time, by written notice thereof to contractor {"change Notice,') makes changes in the work within the generat scope of this Agreement, inctuding, but not timited to: (a) changes in, revisions to' substitutions for, additions to or del'etions of any Work; (b) changes in schedute; and (c) acceteration, deceteration or suspension of performance of anyWork. lf any change in the work causes an increase or decrease on contractor's cost of, or the time required for, performance of the Work, an equitable adjustment in the compensation to contractor and in the schedute for the performance of the work shal.t be made to reftect such an increase or decrease' Notwithstanding any dispute or delay in arriving at a mutuatty acceptable equitabl.e adjustment, contractor shal.l. proceed in accordance with al't change Notices. The contractor must, within thirty (30) days after receipt of any Change Notice that does not set forth any acceptabte adjustment' submit to the County a written statement setting fofth any adjustment ctaimed' lf any change results in a decrease in the work performed, contractor shatL be entitted to compensation associated with changing the work, such as revising design already compLeted, revising catculations al.ready performed' and revising documents. 13.@: lf the Contractor defautts by faiting to perform any of the obl'igations of the Agreement or becomes insotvent or is declared bankrupt or commits any act of bankruptcy or insolvency or makes an assignment for the benef it of creditors, the county may, by depositing written notice to the Contractor in the U.S. mait, postage prepaid, terminate the Agreement' and at the County's option, obtain performance of the work etsewhere' lf the Agreement is terminated for defautt, the contractor shatl. not be entitl,ed to receive any f urther payments under the Agreement until. att work ca[ted for has been ful'ty performed' Any extra cost or damage to the county resuttingfrom such defaul,t(s) shal't be deducted from any money due or coming due to the Contractor. The Contractor shatt bear any extra expenses incurred by the County in comptetingthe work' and at[ damage sustained, orwhich may be sustained by the County by reason of such defautt. lf a notice of termination for default has been issued and it is tater determined for any reason that the Contractor was not in defautt, the rights and obtigations of the parties shal't be the same as if the notice of termination had been issued pursuant to the Termination for Public Convenience ParagraPh hereof . 1 4.
