12.2 12.3 12.4 12.5 The county may, at any time, by written notice thereof to contractor ("change Notice,,) makes changes in the Work within the $enerat scope of this Agreement, inctuding, but not l,imited to: (a) changes in' revisions to' suOstitutions for, additions to or detetions of any Work; (b) changes in schedute; and (c) acceteration, deceteration or suspension of performance of anyWork. lf any change in the Work causes an increase or decrease on ContraCtor's cost of , or the time required for, performance of the work, an equitabl'e adjustment in the compensation to contractor and in the scheduLe for the performance of theWorkshattbemadetorefl,ectsuchanincreaseordecrease. Notwithstanding any dispute or delay in arriving at a mutuatty acceptabte equitabte aojustment, contractor shaLt proceed in accordance with a[l' change Notices. The contractor must, within thirly (30) days after receipt of any change Notice that does not set forth any acceptabte adjustment, submit to theCoUntyawrittenStatementsettingforthanyadjustmentcl'aimed. lf any change resul,ts in a decrease in the work performed, contractor shail be entiil.ed to compensation associated with changing the work, such as revising designal'readycompteted,revisingca[culationsatreadypedormed,and revising documents- t 3. Delaull: lf the Contractor defauLts by fail,ing to perform any of the obtigations of the Agreement or becomes insolvent or is dectared bankrupt or commits any act of bankruptcy or insotvency or makes an assignment f or the benefit of creditors, the county may, by depositing written notice to the Contractor in the U,S. mait, postage prepaid, terminate the Agreement, and at the county's option, obtain pedormance of the work etsewhere' lf the Agreement is terminated for defauLt, the Contractor shatt not be entitl'ed to reeeive any further payments under the Agreement untit al.t work cal,l.ed for has been futl.y performed.
