12.2 The County may, at anytime, bywritten notice thereof to Contractor ("Change Notice") makes changes in the Workwithin the general scope of this Agreement, inctuding, but not Limited to: (a) changes in, revisions to, substitutions for, additions to or deletions of any Work; (b) changes in schedute; and (c) acce[eration, deceteration or suspension of performance of anyWork. 12.g lf any change in the Work causes an increase or decrease on Contractor's cost of, or the time required for, performance of the Work, an equitabte adjustment in the compensation to Contractor and in the schedute for the performance of the work shatt be made to reftect such an increase or decrease. 12.4 Notwithstanding any dispute or del,ay in arriving at a mutualty acceptabte equitabl.e adjustment, Contractor shatL proceed in accordance with att Change Notices. The contractor must, within thifty (30) days after receipt of any Change Notice that does not set forth any acceptable adjustment, submit to the county a written statement setting forth any adjustment ctaimed' 12.5 lf any change resuLts in a decrease in the Work performed, Contractor shatt be entitted to compensation associated with changing the Work, such as revising design al.ready compteted, revising caLcuLations al.ready performed, and revising documents 1 3. Ie-rminalie&for Defaull: lf the Contractor defautts by faiting to perform any of the obtigations of the Agreement or becomes insotvent or is decLared bankrupt or commits any act of bankruptcy or insotvency or makes an assignment for the benefit of creditors, the County may, by depositing written notice to the contractor in the u.s. mail, postage prepaid, terminate the Agreement, and at the County's option, obtain performance of the work elsewhere. lf the Agreement is terminated for defautt, the contractor shaLl not be entitted to receive any further payments under the Agreement until att work catLed for has been futty performed' Any extra cost or damage to the County resuttingfrom such defautt(s) shatl. be deducted from any money due or coming due to the Contractor. The Contractor shatt bear any extra expenses incurred by the County in compteting the work, and att damage sustained, or which may be sustained by the County by reason of such defaul't. lf a notice of terrnination for defautt has been issued and it is tater determined for any reason that the Contractorwas not in defautt, the rights and obtigations of the parties shalt be the same as if the notice of termination had been issued pursuant to the Termination for Pubtic Convenience paragra Ph he reof . 1 4.
