12.2 <br />12.3 <br />12.4 <br />12.5 <br />The County may, at any time, by written notice thereof to Contractor ("Change <br />Notice") makes changes in the work within the general scope of this <br />Agreement, inctuding, but not timited to: (alchanges in, revisions to, <br />substitutions for, additions to or detetions of any Work; (b) changes in <br />scheduLe; and (c) acceteration, deceteration or suspension of performance of <br />anyWork. <br />lf any chan$e in the Work causes an increase or deCrease on Contractor's cost <br />of, or the time required for, performance of the work, an equitabte adjustment <br />in the compensation to Contractor and in the schedute for the performance of <br />the work shal,t be made to reftect such an increase or decrease. <br />Notwithstanding any dispute or detay in arriving at a mutuatty acceptabte <br />equitab[e adjustment, Contractor shatt proceed in accordance with att Change <br />Notices. The contractor must, within thirty (30) days after receipt of any <br />Change Notice that does not set forth any acceptabte adjustment, submit to <br />the county a written statement setting forth any adjustment claimed' <br />lf any change results in a decrease in the work performed, contractor shatt be <br />entitl,ed to compensation associated with changing the Work' such as revising <br />design atready compteted, revising ca[cutations al.ready performed, and <br />revising documents. <br />1 3. IetminaliorLorD-elault: <br />lf the contractor defaul,ts by faiting to perform any of the obtigations of the Agreement or <br />becomes insotvent or is dectared bankrupt or commits any act of bankruptcy or insolvency or <br />makes an assignment for the benefit of creditors, the County may, by depositing written <br />notice to the Contractor in the U.S. mail, postage prepaid, terminate the Agreement' and at <br />the County's option, obtain performance of the work etsewhere' lf the Agreement is <br />terminated for default, the Contractor shatt not be entitl,ed to receive any further payments <br />under the Agreement untit att work cal.ted for has been futty performed. Any extra cost or <br />damage to the county resulting from such defautt(s) shal,t be deducted from any money due <br />or coming due to the contractor. The contractor shatt bear any extra expenses incurred by <br />the County in compl.eting the Work, and att damage sustained, or which may be sustained by <br />the County by reason of such defautt' <br />lf a notice of termination for defautt has been issued and it is iater determined for any reason <br />that the Contractor was not in defautt, the rights and obtigations of the parties shal'l be the <br />same as if the notice of termination had been issued pursuant to the Termination for Public <br />Conve nience ParagraPh hereof. <br />14.Te!:mination-f orPubllc-e-o-n-v.enlqn-e-e: <br />Kittitas County ProfessionaL Services Agreement <br />PageT of 19
