10. Regulations and Reguirement: <br />This Agreement shall be subject to all laws, rules and rcgulatlons of the United $tates of <br />America, and State of Washington, and political subdivisions of the $tate of Washlngton, <br />and to any other provisions set forth herein or in the attaohed exhlbits. <br />11. Bighlto Revlets: <br />This contrf,ct io subJect to review by any Federal or $tate audltor. The County or lts designee <br />shall have the right to rpvlew and monltor the financlal and seMce cornponents of thls <br />program by whatever msans are deemed expedient by the County. Such revlew may occur <br />wlth or without notice, and may lnclude, but is not limited to, on-slte inspectlon by County <br />agents or employees, lnspection of all records orother materials which the County dsems <br />pedlnent to the Agreement and lts performance, and any and all communications wlft or <br />evaluation by service recipients under this Agreement. The Contnactor shall preserve and <br />maintain all flnancial records and records relatlng to the performanCIe of work under this <br />Agrcement for 6 years affer contract termination, and shall make them avallable for suoh <br />review, wlthln Klttltas Gounty, $tate of Washington, upon requesl <br />12. Modiflcations: <br />12.1 Either party may request changes in lhe Agreement. Any and all agrced <br />modlfications shall be ln writing, slgned by each of the parties' <br />12,2 The County may, at any tlme, by written notice thereof to Contractor ("Ghango <br />Notice") makes changes in the Work within the general scope of thls <br />Agreernent, including, but not limited to: (a) changes ln, revisions to, <br />eubstitutions for, addltlons to or dolstlons of any Work; (b) changes in <br />schedule; and (c) acceleration, deceleration or suspension of porformance of <br />anyWork. <br />12.3 lf any change ln the Work cause$ an lncrease or decreaso on Contracto/s <br />cost of or the time required for, performance of the Work, an equitable <br />adjuslment ln the compensation to Contractor and ln the schedule for the <br />performance of the Work shall be made to reflect such an increase or <br />docrease. <br />12,4 Notwithstanding any dispute or delay in arrlving at a mutually acceptable <br />equ itable adjustment, Contractor sha ll proceed in accord ance wlth a I I Cha nge <br />Notices. Contractor must, within thirty (30) days after receipt of any Change <br />Notlce that does not set forth any acceptable adjustment, submit to the County <br />a written staternent sottlng forth anyadJustment clalmed. <br />12.5 lf any change results in a decrease in the Work performed, Contractor shall <br />be entitled to compensation associated with changing the Work, such as <br />revleing design already cornpleted, rovislng calculatlons already performed, <br />and revising docurnents. <br />Professionsl $orvioes Agrooment (rev. i912412018) <br />Page S oflB
