6) Indemnitv <br />A. WESTWOOD agrees to defend, indemni$, and hold harmless COUN'|Y, its <br />officers, employees and agents, from and against, any and all losses, claims, actions, <br />darnages, liability and expenscs, inoluding, but not limited to, those in conncction with loss <br />of life, bodily rnjury and personal injury or dainage to property to the extent occasioned by <br />WES"WOOD'S acts or omissions or the acts or omissions of WESTWOOD'S agents, <br />officers, emFloyees, contractors (including contractors and suppliers) or servants pursuant <br />to this Agreernent. <br />B. COUNTY agrees to defend, indernniff, and hold hannless WESTWOOD, its <br />offrcers, employees and agents, fiom and against, any and all losses, claims, actions, <br />damages, liability and expenses, including, but not timited to, those in conaection with loss <br />of life, bodily injury and personal injury or damage to property to the extent occasioned by <br />COUNTY'S acts or omissions or the acts or omissions of COIJNTY'S agents, officers, <br />employees, contractor-s (including contractors and zuppliers) or servants pu$uant to ttris <br />Agreement. <br />7) CoopEgtive Procurernent. It is the intent of this Agreement to allow for cooperative <br />procurement. Accordingly, my public body, public or private health or educational <br />institr.rtions or lead issuing institution's affiliatecl enlities rnay access this Agreement if <br />authori.zcd by WESTWOOD. WESTWOOD agrees that it will contractwith any body in <br />the State of Washington who so desires to permit those public agencies or bodies to <br />purchase such se,nrices at contract prices, in accordance with the terms and conditions of <br />this Agreement. WESTWOOD will deal directly with each public agency, or public body <br />sccking to obtain any goods ancVor serviccs pursuant to this Agreement. WESTWOOD <br />will provide written notice to COUNTY pursuant to Section 1l of this Agreernent <br />regarding any such contract dessribed in the Seclion 7 of the Agreement. <br />8) Third-Pa(y Reimbwsements. WESTWOOD wili bill Medicaid and third'parly payers for <br />U.S. Marshals inmates as rcquired. <br />9) Counterparts. I-lris Agreernent may be executed by the parties hereto in multiple original <br />counterparts, each of which shall be deemed an original, but all of which shall constitute <br />one and thE same. <br />l0)ModifiqetioUs.& r\msudmgnlq. This Agreement may only be modified or amended by a <br />writlen agreement that is executed by both parlias. <br />ll)Qoverning Law. This Agrccment shall bc governed by the Laws of thc Statc of <br />Washington. <br />12)Notices.
