2. Security and Access. When traffic control is required for camera installation, maintenance, <br />removal, or any other cause related to Flock Safety cameras, Sheriff's Office shall provide <br />approved temporary traffic control for the intended operation and use. A temporary traffic <br />control plan shall be submitted to Public Works for review and approval 10 business days prior <br />to any road use. Temporary traffic control refers to the control of all types of traffic, including <br />vehicles, bicyclists, and pedestrians. <br />2.1. Sheriff's Office will monitor the affected roadway and provide for traffic flow. <br />3. Term. This Agreement will be effective for two years from the time the agreement is executed, <br />at which time it will automatically terminate if not renewed. <br />4. Termination. County may terminate this Agreement at any time it finds it necessary do so <br />within its sole discretion. Sheriff's Office may terminate this Agreement for any reason with <br />7 days' notice. <br />5. Miscellaneous. <br />5.1. Benefits. This agreement is entered into for the benefit of the Parties to this <br />agreement only and shall confer no benefits, direct or implied, on any third <br />persons. <br />5.2. Assignment. Sheriff's Office shall not assign its rights under this Agreement. <br />5.3. Entire Agreement/Modification. This Agreement represents the entire agreement of the <br />Parties with respect to the subject matter hereof and supersedes all prior negotiations or <br />discussions with respect thereto. This Agreement may be amended or modified by written <br />instrument signed by the Parties. <br />5.4. Notice. All communications regarding this Agreement shall be sent to the Parties at the <br />Parties' regular business address unless notified to the contrary. Any written notice <br />hereunder shall become effective upon personal service or three (3) business days after <br />the date of mailing by first class or certified mail and shall be deemed sufficiently given <br />if sent to the addressee at the address stated in this Agreement or such other address as <br />may be hereafter specified in writing. <br />5.5. Governing Law. This Agreement shall be subject to all laws, rules and regulations of the <br />United States of America, and State of Washington, and political subdivisions of the State of <br />Washington, and to any other provisions set forth herein or in the attached exhibits. <br />5.6. Venue. In the event that any litigation should arise concerning the construction or <br />interpretation of any of the terms of this Agreement, the venue of such action of litigation <br />shall be in the Superior Court of the State of Washington in and for the County of Kittitas. <br />This Agreement shall be governed by the law of the State of Washington. <br />7 <br />
