PROFESSIONAL SERVICES AGREEMENT <br />Between <br />KITTITAS COUNTY <br />and <br />Hopesource <br />Contract #PHMH-016 <br />For <br />HopeSource Behavioral Health Bridge Program <br />This Agreement is made by and between l(ittitas County (hereinafter "the County")and <br />Hopesource (hereinafter "Contractor"). The County and Contractor agree as fottows: <br />. GeneratConditions <br />o Exhibit A (Scope of Work) <br />o Exhibit B (Compensation) <br />o Exhibit C (Proof of lnsurance) <br />o Exhibit D (Reporting) <br />o Exhibit E (Subcontracting) <br />copies of which are attached hereto and incorporated herein by this reference as futl.y as if set <br />forth herein. <br />The term of this Agreement shatl commence on 1/1/2025 and continue unti[ 1 2/31/2026. Any <br />party may terminate this Agreement by giving thirty (30) days' notice in writing either <br />personatty detivered or maited postage-prepaid by certified mait, return receipt requested, to <br />the party's last known address for the purposes of giving notice under this paragraph. <br />Contractor acknowtedges and by signing this Agreement agrees that the lndemnification <br />provisions set forth in Paragraphs 7 (lndependent Contractor), 9 (Taxes), 15 (Defense and <br />lndemnityAgreement), 21 (Patent/Copyright lnfringement)and 24 (Confidentiatity), are totatty <br />and ful.l.y part of this Agreement and have been mutuatty negotiated by the parties. <br />Kittitas Cou nty ProfessionaI Services Agreement <br />Page 1 of 22
