Attachment A <br />SPECIAL TERM$ AND CONDITIONS <br />ARTICLE I. KEY PERSONNEL <br />The individuals listed below shatl be considered key personnel for point of contact under this Agreement. Any <br />substitution of key personnel by either party shall bei rhade hy written notification to the current key personnel. <br />SUB IPI <br />ART|CLE il. ADM|NISTRAT|VE AND/OR FTNANCtAL REQUTREMENTS <br />The Subrecipient shall comply with all applicable state and federal laws, rules, regulations, requirements and <br />prograrn guidance identified or referenced in this Agreement and the informstional documents published by <br />DH$/FEMA applicable to the 24HSGF Program, including, but not limited to, all criteria, restrictions, and <br />requirements of "Ihe tJ.S. Depaftment of Homoland Security (DHS) Notice of Funding Opportunity (NOFO) <br />Frisca/ Year 2A24 Homeland Security Grant Program" (hereafter "the NOFO"), the Preparedness Granfs Manual <br />FM 207-23-00A1 Aprit 2024 (hereafter "the Manual"), the DHS Award Letter for the Grant, and the federal <br />regulatlons commonly applicable to DHS/FEMA grants, all of which are incorporaied herein by reference, The <br />DHS Award Lefferis incorporated in this Agreement as Attachment C, <br />The $ub recipient acknowledgos that since this Agreement involves federal award funding, the period of <br />performance may begin prior to the availability of appropriated federal funde. The Subrecipient agrees that it will <br />not hold the Department, the state of Washington, or the Un ited $tates liable for any damages, claim for <br />reimbursement, 0r any type of payment whatsoever for sentices performed under this Agreement prior to <br />distribution of appropriated federal funds, or if federal funds are not apptopriated or in a particular amount. <br />A. STATE AND FEDERAL REQUIREMENTS FOR DHS/FEMA PREPAREDNESS GRANT$: <br />The'foltowingrequirements epply to att DIISiFEMA PreparednessGrants administ-ereO nitne Department, <br />1, $UBAWARDS & GONTRACTS BY SUBREGIPIENT$ <br />a, The Subreoipient muet make a case-by-case detemination whether each agreement it makes for <br />the disbursement of 24HSGP funds received under this Agreement casts the party receiving the <br />funds in the role of a subrecipient or contractor ln accordance with 2 CFR 200.331. <br />b. lf the Subrecipient becomes a pass-through entity by making a subaward to a non-federal entity <br />as its subrecipient: <br />i. The $ubrecipient must comply with all federal laws and regulationt applioable to pass' <br />through entities of 24H$GP funds, including, but not limited to, those contained in 2 CFR <br />200, <br />ii.
