Notice for any purpose under this Agreement, except seMce of process, shall be <br />given by the Fundlng Recipient to the Kittitas Coun$ Commissioners and the Kiftitas <br />County Public Works Director, 411 Norfr Ruby, Suite 1, Ellensburg, WA 98926. For all <br />purpoees under this Agreement, any notice by the County to the Funding Reciplent <br />shall be given to the Funding Recipi€nt's address provided on the signature page, <br />Notie may be given by delivery or by deposlting ln the U.S. Mail, first class, postage <br />prepaH, certified mail, return reoeipt requested. <br />d. The seclion and paragraph headings of this Agreement are for reference <br />oonvenienoe only and are not intended to restrict, affect or be of any weight in <br />interpreting or conslruing the provisions of such sections or paragraphs. <br />e. This Agreement may be executed in one or mors counterparts and by facsimile, <br />each of which will be deemed an original, but all of whlch together will constitute ono <br />and the same instrument. <br />f. Funding Recipient warants to the County that the individual signing on Funding <br />Reclpient's behalf has the requislte power and auflrorlty to enter lnto and to perform <br />Fundlng Reciplent's obligations under this Agreement. Funding Reciplent further <br />warrants to the County that Funding Recipient has made no misrepresentation or <br />misleading statement ln connection with this Agreement, and is not ln vlolatlon of any <br />applicable law, ordinance, or regulation the consequen@ of whioh will or may <br />materially affect Funding Recipient's ability to perform its obligations under this <br />Agreement. <br />g. lf any term or condition of this Agreement or the application thereof to any person(s) or <br />ciranmstanes is held inralid, such invalidity shall not affect the other t€rms, conditions <br />or applications which can be given efiect wlthout the invalid term, mnditlon or <br />application. To thls end, tre terms and conditlons of ffris Agreement are declared <br />severable. <br />h.
