12.2 The County may, at any time, by written notice thereof to Contractor ("Change Notice") makes changes in the work within the general scope of this Agreement, inctuding, but not l,imited to: (a)changes in, revisions to, substitutions for, additions to or del,etions of any Work; (b) changes in schedute; and (c) acceteration, deceteration or suspension of performance of anyWork. 12.3 lf any change in the Work causes an increase or decrease on Contractor's cost of, or the time required for, performance of the Work, an equitabte adjustment in the compensation to Contractor and in the schedul,e for the performance of the work shal.l. be made to refl,ect such an increase or decrease. 12.4 Notwithstanding any dispute or deLay in arriving at a mutuatty acceptabte equitabl.e adjustment, Contractor shatl, proceed in accordance with at[ Change Notices. The Contractor must, within thirty (30)days after receipt of any Change Notice that does not set forth any acceptabte adjustment, submit to the County a written statement Setting forth any adjustment ctaimed. 12.5 lf any change resutts in a decrease in the Work performed, Contractor shatl be entitted to compensation associated with changing the Work, such as revising design al,ready compteted, revising caLcul,ations atready performed, and revising documents. 13. Termination for Defautt: lf the Contractor defaul,ts by faiting to perform any of the obl,igations of the A$reement or becomes insotvent or is dectared bankrupt or commits any act of bankruptcy or insotvency or makes an assignment for the benefit of creditors, the County may, by depositing written notice to the Contractor in the U.S. mail,, postage prepaid, terminate the Agreement, and at the County's option, obtain performance of the work etsewhere. lf the Agreement is terminated for defaul.t, the Contractor shal.l, not be entitted to receive any further payments under the Agreement until. al,twork catted for has been ful,ty performed. Any extra cost or damage to the County resutting from such defauLt(s) shaLt be deducted from any money due or coming due to the Contractor. The Contractor shaLt bear any extra expenses incurred by the County in comp[eting the work, and atl, damage sustained, or which may be sustained by the County by reason of such defautt. lf a notice of termination for defaul,t has been issued and it is later determined for any reason that the contractor was not in defautt, the rights and obl,igations of the parties shatt be the same as if the notice of termination had been issued pursuant to the Termination for Pubtic Convenience paragraph hereof. 14.
