12.2 The County may, at any time, by written notice thereof to Contractor ("Change Notice") makes changes in the Work within the generaI scope of this Agreement, incl,uding, but not l,imited to: (a) changes in, revisions to, substitutions for, additions to or de[etions of any Work; (b) changes in schedul,e; and (c) acceteration, deceteration or suspension of performance of anyWork. 12.g lf any change in the Work causes an increase or decrease on Contractor's cost of, or the time required for, performance of the Work, an equitabte adjustment in the compensation to Contractor and in the schedul,e for the performance of the Work shatt be made to reftect such an increase or decrease. 12.4 Notwithstanding any dispute or del,ay in arriving at a mutualty acceptable equitabte adjustment, Contractor shal,l. proceed in accordance with aLl' Change Notices. The contractor must, within thirty (30)days after receipt of any Change Notice that does not set forth any acceptabte adjustment, submit to the County a written statement setting forth any adjustment ctaimed. 12.5 lf any change resutts in a decrease in the Work performed, Contractor shatl be entit1ed to compensation associated with changing the Work, such as revising design al.ready compteted, revising cal,cuLations atready performed, and revising documents. 13. Termination for Defautt: lf the Contractor defau[ts by faiting to perform any of the obl,igations of the Agreement or becomes insotvent or is decl,ared bankrupt or commits any act of bankruptcy or insotvency or makes an assignment for the benefit of creditors, the County may, by depositing written notice to the contractor in the U.s. mail,, postage prepaid, terminate the Agreement, and at the County's option, obtain pedormance of the work etsewhere. lf the Agreement is terminated for defautt, the Contractor shatl, not be entitl,ed to receive any further payments undertheAgreementuntil.at[workcatl,edforhasbeenfutl,yperformed'Anyextracostor damage to the County resutting from such defautt(s) shatl, be deducted from any money due or coming due to the Contractor. The Contractor shatl. bear any extra expenses incurred by the County in compl.eting the work, and al.L damage sustained, orwhich may be sustained by the County by reason of such defautt. lf a notice of termination for defautt has been issued and it is later determined for any reason that the Contractor was not in defaul,t, the rights and obLigations of the parties shatt be the same as if the notice of termination had been issued pursuant to the Termination for Publ'ic Convenience paragraph hereof. 14.
