{f <br />q {" <br />AMENDMENT TO LEASE <br />THIS AMENDMENT TO LEASE made and entered into this e,4 ay of September, <br />A <br />B <br />c <br />2014 by and between Kittitas County, a municipal corporation in the State of <br />Washington, hereinafter referred to as LESSOR, and Carrera Hangars Bowers Field <br />LP, a limited partnership formed in the State of Washington, hereinafter referred to as <br />LESSEE. <br />WHEREAS: <br />On June 1,2010 the Lessor and Carrera Hangars LP executed a lease (the <br />"Original Lease") of certain propefty (the "Property") being a part of the Kittitas <br />County Airport (also known as Bowers Field); <br />By an Addendum to Lease dated June 7, 2011 the Original Lease was amended <br />to expand the Property from 19,800 square feet to 27,O07.20 square feet, and to <br />adjust the rental rate accordingly; <br />By a Lease Assignment and Assumption Agreement dated May 1 ,2011, <br />consented to by the Lessor pursuant to a Consent to Assignment of Lease dated <br />June 7,2011, Carrera Hangars LP assigned the Original Lease as amended by <br />the Addendum to the Lessee (hereinafter the Original Lease as amended by the <br />Addendum is referred to as the "Lease"); <br />Pursuant to Paragraph 8 of the Lease, the Lessee is permitted to assign the <br />Lease to a lender for security purposes without the consent of the Board of <br />Commissioners of Kittitas County, provided the Lessee gives written notice of the <br />Assignment to the Lessor; <br />The Lessee desires to assign the Lease and the Lessee's interest in the <br />improvements constructed on the leased land to Secure a loan; and <br />The parties desire to amend the Lease by adding certain additional provisions to <br />facilitate Lessee's assignment of the Lease for financing purposes, to confirm the <br />other terms and conditions of the Lease, and to acknowledge their execution of <br />the Lease as amended. <br />FOR AND lN CONSIDERATION of the mutual covenants hereinafter contained, the <br />parties agree as follows: <br />1. EXHIBIT A TO LEASE. The Lessor and Lessee agree that Exhibit A attached to <br />this Amendment to Lease shows the plat plan and legal description of the <br />Property leased under the terms of the Lease and shall be attached as Exhibit A <br />to the Lease. <br />D <br />E <br />F
