without charge, subject to scheduling with the Kittitas Valley Event Center Director. In addition, <br />the Association is granted access to the facilities at such times as are necessary and reasonable to <br />do maintenance, repair, and/or make capital improvements as may be necessary. <br />The Association shall be entitled to exclusive possession of the stock pens surrounding <br />the area fourteen (14) days prior to the first day of the Rodeo. Requests to use the stock pens <br />during the period of exclusive occupation shall be submitted to the Association for their <br />approval. <br />From August lst to September 301h of each year, the County shall obtain Association <br />approval before renting or hosting events with "Rodeo' elements. Rodeo elements include <br />activities or events that are substantially similar to: bareback riding, saddle bronc riding, bull <br />riding, steer wrestling, team roping, tie -down roping, break -away roping, wild cow milking, and <br />barrel racing. <br />9. DURATION OF AGREEMENT: The duration of this Agreement shall run from <br />January 1, 2025 to December 31, 2034. The length of this Agreement shall be modified to match <br />the length of the debt service schedule should Section 20 of this Agreement be fully <br />implemented. Should Section 20 of this Agreement not be fully implemented in accordance with <br />the timeline outlined in Section 20; this Agreement shall expire on December 31, 2029. <br />The Association shall enjoy the right of first refusal should any other event contractor <br />wish to pursue negotiations with the County after expiration of the above period and shall be <br />allowed to meet or exceed the terms of any offer received by the County as to the same period of <br />occupancy as referenced in Section 8. <br />10. RODEO ENTRY GATES: For the purpose of admission to the leased grounds, and <br />for the purposes stated above, the County shall not unreasonably restrict the Association from <br />designating entry and egress points on and about the leased premises. At least three of those <br />points shall allow entry to the premises from the following public streets or ways: The <br />"Champie Property" entrance, the 81h Street gate, and the 7th Street gate. <br />11. ACCESS TO PREMISES: The Association shall be permitted reasonable access to <br />the premises herein described at such other times during the year for the purposes of <br />maintenance, inspection and construction and other necessary preparations for the Rodeo <br />activities. However, it is understood that the County shall have the exclusive right to rent or <br />lease the premises herein described above to others during the remainder of the year, other than <br />as described in Section 8 of this Agreement. <br />The County shall have all stalls in all barns clean and ready for bedding when the <br />Association takes possession. The Association shall return the stalls to the County at the end of <br />each yearly period of occupation in the condition in which they were received, less bedding, and <br />place the stall waste in an area that is accessible to the County staff for removal. <br />12. NIGHT SHOWS/OTHER PERFORMANCES: During its periods of occupancy <br />as defined in Section 8 of this Agreement, the Association shall have 24-hour per day control of <br />Ellensburg Rodeo Association Contract January 1, 2025 through December 31, 2034 <br />
