Protection Requirements". <br />(m) "Documentation" means the Harris user manuals, handbooks, guides, educational materials, <br />product descriptions and specifications, technical manuals, and other information relating to the <br />Software either distributed in hard copy form or electronically and available at http://docs.cayenta.com. <br />(n) "Fees" means collectively and singularly, the Annual Subscription Fees, License Fees, Support <br />Fees and any other fees due to Harris by Organization under this Agreement. <br />(o) "License Fees" means the fees to be paid by Organization for the rights granted pursuant to <br />the Perpetual License and as set out in a CS Order. <br />(p) "Organization Data" means information, data (other than Aggregated Statistics), and other <br />content, in any form or medium, that is submitted, posted, or otherwise transmitted by or on behalf of <br />Organization or any other Authorized User through the Cayenta Offerings, including but not limited to <br />personal information or personally identifiable information of Organization's customers. <br />(q) "Pass-Through Terms" means those Pass-Through Terms set out in Schedule C that govern <br />use of the Third-Party Products set out in Schedule C, and as such Pass-Through Terms maybe <br />revised from time to time. <br />(r) "Perpetual-Use Software" means the Software for which a Perpetual License is granted, as set <br />out in a CS Order <br />(s) "Perpetual License" means the perpetual license rights granted to Organization pursuant to <br />Section 2.1(b). <br />(t) "Professional Service(s)" means the any professional service(s) provided by Harris pursuant to <br />Professional Services Agreement. <br />(u) "Professional Services Agreement" means the Professional Services Agreement executed by <br />the parties contemporaneously with this Agreement. <br />(v) "Protected lP" means the Software and any of its components, the Documentation, and any <br />and all related intellectual property, whether provided to or accessible by Organization in connection <br />with the foregoing, and whether such intellectual property is proprietary to Harris or to its vendors, <br />service providers or licensors. <br />(w) "Release" means an Upgrade or an Update <br />(x) "software" means the software product(s) that are owned by Harris, including without limitation, <br />the Subscription Software and the Perpetual-Use Software, as set out in a CS Order. "Software" <br />includes Harris APls and the Customer Engagement Portal. "Software" does not include Third-Party <br />Products. <br />(V) "subscription Software" means the Software for which a Term License in granted for the <br />Subscription Term, as set out in a CS Order. <br />(z) "subscription Term" means the time period set out in a CS Order during which Organization is <br />granted a Term License pursuant to Section 2.1(a). <br />CONFIDENTIAL <br />Page 3 of 4'1 <br />Cayenta Sofiware and Subscription Agreement 2024-01-11
