relating directly or indirectly to this Agreement or any acts or omissions of Harris in connection therewith or <br />contemplated thereby. <br />6.12 lnvaliditv <br />The invalidity or unenforceability of any provision or covenant contained in this Agreement shall not affect <br />the validity or enforceability of any other provision or covenant herein contained and any such invalid <br />provision or covenant shall be deemed to be modified to the extent necessary in order to render such <br />provision valid and enforceable; if such provision may not be so saved, it shall be severed and the remainder <br />of this Agreement shall remain in full force and effect. <br />6.13 Waiver <br />A term or condition of this Agreement may be waived or modified only by written consent of both parties. <br />Forbearance or indulgence by either party in any regard shall not constitute a waiver of the term or condition <br />to be performed, and either party may evoke any remedy available under this Agreement or by law despite <br />such forbearance or notice. <br />6.14 Counterparts <br />This Agreement may be executed in counterparts (whether by facsimile or PDF signature or otherwise), <br />each of which when so executed shall constitute an original and all of which together shall constitute one <br />and the same instrument. <br />6.15 Sulival <br />Section 3.2, Section 4.1 and Articles V and Vl shall survive the termination and/or expiration of this <br />Agreement. <br />6.16 Further Assurances <br />The parties shall do all such things and provide all such reasonable assurances as may be required to <br />consummate the transactions contemplated hereby, and each party shall provide such further documents <br />or instruments required by any other party as may be reasonably necessary or desirable to effect the <br />purposes of this Agreement and carry out its provisions. <br />6.17 Gurrencv <br />All amounts specified in this Agreement shall be in United States currency. <br />6.18 Relationship <br />The parties are and shall at all times remain, independent contractors in the performance of this <br />Agreement and nothing herein shall be deemed to create a joint venture, partnership or agency <br />relationship between the parties. Neither party will have the power to bind the other party or to contract in <br />the name of or create any liability against the other party in any way for any purpose. Neither party will be <br />responsible for the acts or defaults of the other party or of those for whom the other party is in law <br />responsible. <br />6.19 Equitable Relief <br />Organization acknowledges and agrees that it would be difficult to compute the monetary loss to Harris <br />arising from a breach or threatened breach of this Agreement and that, accordingly, Harris will be entitled
