Docusign Envelope lD: 9D820F71-5C77-4A81 -A20C-D39425A73D1 E <br />AMENDMENT TO THE PROFESSIONAL SERVICES OPERATING AGREEMENT <br />This Amendment is made and entered into by and between l(ittitas County ("Client"), and Summit Food <br />Service, LLC ("Company") (coIlectively "the Parties"). <br />WHEREAS, the Parties have entered into a certain PROFESSIONAL SERVICES OPERATING <br />AGREEMENT (the "Agreement"), effective March 15,20tl; <br />WHEREAS, the Parties have agreed to extend the Agreement with a pricing adjustmen! and <br />WHEREAS, the Partles now desire to amend said Agreement upon the terms and conditions stated <br />herein, <br />NOW, THEREFORE, the Parties, intending to be legally bound hereby, mutually agree as follows: <br />t. Term. This Agreement shall be extended for an additional year beginnlng January 2t,2025. Per <br />Section 11..01 of the Agreement, the terrn shall automatically renew for additional one-year <br />periods thereafte r u n less otherwise term in ated. <br />2. PayFent Af(qnegm.ent. Future Pricing, The Future Pricing Section of the Agreement shall be modified to the following <br />language: <br />Pricing adjustments shall be made on an annual basis at a rate no less than the greater of five <br />percent (5%1, the most recently released U.S. Department of Labor Consumer Prlce lndex, All <br />Urban Consumers, National Average Unadjusted, Food Away from Home, or the changes in the <br />Market Basket of Products. Up to ninety (90) days prior to the anniversary of the Commencement <br />Date, Company shall provide Client notification of the adjustment to the Fee(s). On the <br />anniversary of the Commencement Date, Company's proposed adJustments shall go into effect, <br />unless the Parties have entered into a written agreement with an alternative cost adjustment, <br />Page I of 2
