Vf. Comprehensive agrees to: <br />A) Designate Greg Aubol ggeg.aubol@comphc.org or designee as COMPREHENSM <br />contaotperson and liaison wittr KCI and Dan Ladd Daniel.ladd@comphc.org as contact <br />person related to billing or contract. <br />B) Provide the listed services presented in ExhibitA. <br />VU. COMPREHENSM and KCJ mutunlly agree! <br />A) To maintain an open line of communication between KCI staffand COMPREHENSIVB <br />staff for sharing pertinent information about inmates' behavior. <br />B) To have a schedule that is flexible and consistent wiflr KCJ operations, and maintain their <br />credentialed status as described in Exhibit C, <br />C) COMPREFIENSIVE and KCJ shall comply with tlreir establishedregulations regarding <br />oonfidentiality including federal HlPMregulations. The parties shallsign and <br />incorporate the "Business Associate Agreement" Pertaining to HIPAA compliance as an <br />integral portion ofrenewal of this agreement and before engagrng in performance of this <br />agreement. <br />D) To aclcnowledge that inmates may refuse COMPREHENSIVE seruices except to any <br />ortent mandated by law including court otder. <br />E) That the COMPREHENSI\IE MHC's activities will not go beyond those duties as <br />approved by KCJ aud COMPREHENSIVE except as otherwise provided by law. <br />F) COMPREHENSIVE agrees to remove any MHC provided to KCJ immediately upon <br />writtenrequest by KCJ. <br />G) COMPREHENSIVE will bill KCJ on a quarterly basis for tlre senices. <br />II) Not to recruit for employment nor initiate contacts with ernployees ofthe other party <br />during the period of this contract. <br />D Specific services may be cancelled or rescheduled for good cause by eitlrer party without <br />incuning any cost under dris agreement. 'Good cause" includes security or safety <br />concerns, including unforeseen staffurg shortages, that may impact the safe operations of <br />the KCJ in the judgement of the authorized KCJ Personnel. <br />VU. Hold Harmless and Indemnfficationl <br />COMPREHENSryE agrees to hold harmless, indemnifr and defend Kitbitas County, its officers, <br />agents, and employees, from and against any and all olaims, losses, or liability, for iqiuries, <br />siclaress or death ofperson, or damage to property, arising out of any willful misconduct or <br />negligent act, enor, or omission of COMPREHENSI\D, its officers, agents, or employeas, in <br />connection wittr the seruices required by the Agreement, provided, however, that: <br />(1) COMPRBFIENSIVE's obligations to indemnify, defend andhold harmless shall not <br />extend to injuries, siclcness, death or damage caused by or resulting from the sole willful <br />misconduct or negligence of Kittitas County, its offtcers, agents, or employees or sub- <br />consultauts; and <br />(2) COMPREHENSIVE's obligations to indemnify, defend andholdharmless for injuries <br />siokness, death or damage caused by orresulting fi'om the concurrent negligence or <br />willful misconduct of COMPREI{ENSIVE and Kittitas County or of <br />COMPREHENSIVE and a third party other than an officer, agent or employee of <br />3
