PROFESSIONAL SERVICES AGREEMENT <br />Between <br />KITTITASCOUNTY <br />and <br />HOPESOURCE <br />For <br />20241 2025 TE M PO RARY CO LD WEATH E R S H ELTER <br />This Agreement is made by and between Kittitas County (hereinafter "the County") and <br />HopeSource (hereinafter "Contractor"). The County and Contractor agree as fotlows: <br />o Generat Conditions <br />o Exhibit A (Scope of Work) <br />o Exhibit B (Compensation) <br />o Exhibit C (Proof of lnsurance) <br />o Exhibit D (Washington State Department of Commerce Guidetines for the <br />Consolidated Hometess Grant <br />e Exhibit E (Reporting Form) <br />o Exhibit F (Cotd Weather Shetter Program Guide) <br />copies of which are attached hereto and incorporated herein by this reference as futty as if set <br />forth herein. <br />The term of this Agreement shat[ commence on September 1-2024, and continue untiI March <br />31,2025. Any party mayterminate this Agreement by givingthirty (30) days' notice in writing <br />either personatty detivered or maited postage-prepaid by certified mait, return receipt <br />requested, to the party's last known address for the purposes of giving notice under this <br />paragraph. <br />Contractor acknowledges and by signingthis Agreement agrees thatthe lndemnification <br />provisions set forth in Paragraphs 7 (lndependent Contractor), 9 (Taxes), 15 (Defense and <br />lndemnityAgreement), 21 (PatenllCopyright lnfringement) and 24 (Confidentiatity), are totalty <br />and futty part of this Agreement and have been mutual.ty negotiated by the parties.
