DEFINITIONS <br />As used througfiout tlris Contract, the following terms slrall have the meaning set forth below; <br />A "Authorized Representative" shall mean lhe Director and/or tlte designee authorized in writing <br />to act on the Director's behalf, <br />t <br />B. "COMMERCE" shall tnean the Washington Department of Comnterce. <br />C. "Contract" ot "Agreement" or "Grant" means the entire written agreement between <br />COMMERCE and the Contractor, inclurding any Attachntents, docitments, or matetials <br />incorporated by reference. E-mail or Facsimile transmission of a signed copy of tlris contract <br />shall be the same as delivery of an original, <br />D. "Contractor" or "Grantee" shall mean the entity identified on the face sheet perforrning <br />service(s) under this Contract, and shall include all ennployees and agents of the Contractor. <br />E, "personal lnformation" shall rnean infornration identifiable to any person, including, but not <br />lirnitecl to, information tlrat relates to a person's name, health, finances, education, business, <br />qse or receipt of governnrental services or other activilies, addresses, telephone numbers, <br />social securiiy numirers clriver license n(rmbers, other identifying nutlbers, and any financial <br />identifiers, and "Protected Health lrrformation" Linder the federal Hea{th lnsurance Portability <br />and Accountability Act of 1996 (HIPAA). <br />F. "State" shail mean the state of Washingion. <br />G. "subcontractor" slrall nlean ole not in the enrploynient of the Contractor, who is perfornring all <br />or part of those services under lhis Contract uncler a separate contract with the Contractor. The <br />ternts "sLtbconiractor" and "sttbcontraCtots" mean sUbcontractor(s) in any tier. <br />ALL WRITINGS CONTAINED HEREIN. <br />This Contract contains all the terms anci conditions agreed upon by tlre parties, No other <br />unclerstanclings, oral or otherwise, regarding tlre sulrject matter of this Contract shall be cleemed to <br />exist or to bind any of the parties hereto. <br />AMENDMENTS <br />This Contract r.nay be anrenciecl by mutual agreentent of the parties.
