PROFESSIONAL SERVICES AGREEMENT <br />Between <br />KITTITAS COUNTY <br />and <br />HOPESOURCE <br />For <br />SFY 2025 SUPPLEMENTAL CONSOLIDATED HOMELESS GRANT FUNDING <br />This Agreement is made by and between Kittitas County (hereinafter "the County') and <br />HopeSource (hereinafter "Contractor"). The County and Contractor agree as foltows: <br />o Generat Conditions <br />e Exhibit A (Scope of Work) <br />o Exhibit B (Compensation) <br />o Exhibit C (Proof of lnsurance) <br />o Exhibit D (Consotidated Hometess Grant Guidetines) <br />copies of which are attached hereto and incorporated herein by this reference as futl,y as if set <br />forth herein. <br />The term of this Agreement sha[[ commence on July 1 .2O24. and continue untit June 30. 2025. <br />Any party may terminate this Agreement by giving thirty (30) days' notice in writing either <br />persona[[y delivered or maited postage-prepaid by certified mai[, return receipt requested, to <br />the party's tast known address for the purposes of giving notice under this paragraph. <br />Contractor acknowtedges and by signing this Agreement agrees that the lndemnification <br />provisions set forth in Paragraphs 7 (lndependent Contractor), 9 (Taxes), 15 (Defense and <br />lndemnity Agreement), 21 (Patent/Copyright lnfringement) and 24 (Confidentiality), are tota[[y <br />and futty part of this Agreement and have been mutual,ty negotiated bythe parties. <br />Kittitas County ProfessionaI Services Agreement <br />Page 1 of 18
