6. Assignment and Subcontracting: No portion of this Agreement may be assigned or subcontracted to any other individuat, firm or entity without the express and prior written approvaI of the county. 7. lndependent Contractor: The Contractor,s services shatt be furnished by the Contractor as an independent Contractor and nothing herein contained shatl, be construed to create a retationship of emptoyer- emptoyee or master-servant, but att payments made hereunder and at[ services performed shatt be made and performed pursuant to this Agreement by the Contractor as an independent Contractor. The Contractor acknowtedges that the entire compensation for this Agreement is specified in Exhibit "B" and the Contractor is not entitted to any County benefits inctuding, but not timited to: vacation pay, hotiday pay, sick leave pay, medicat, denta[, or other insurance benefits, or any other rights or priviteges afforded to Kittitas County emptoyees. No Guarantee of EmPtoyment: The performance of atl, or part of this Agreement by the Contractor shat[ not operate to vest any emptoyment rights whatsoever and shatt not be deemed to guarantee any emptoyment of the Contractor or any emptoyee of the Contractor or any sub-Contractor or any emptoyee of any sub-contractor by the county at the present time or in the future. 9. Taxes: The Contractor understands and acknowl,edges that the County witl. not withhold FederaI or State income taxes. Where required by State or FederaI taw, the Contractor authorizes the County to make withhotding for any taxes other than income taxes (i.e. Medicare). Atl' compensation received bythe Contractorwil,t be reported to the lnternaI Revenue Service at the end of the calendar year in accordance with the appticabte IRS regutations. lt is the responsibitity of the Contractor to make the necessary estimated tax payments throughout the year, if any, and the Contractor is sol,ety tiabl,e for any tax obtigation arising f rom the contractor,s performance of this Agreement. The contractor hereby agrees to indemnifythe County against any demand to paytaxes arisingfrom the Contractor's failure to paytaxes on compensation earned pursuantto this Agreement.
