<br />4. Organization Cooperation. Orgatrization slrall cooperate and make its facilities, rnforrnation, data and
<br />ecluipnrent available to NIJO in a tirnely nranner for cornpletion of Servrces. lf Organization requires any
<br />securrty or autlrorization procedures for NIJO employees or contractot-s to access its facilities, systents
<br />arrd/or equiptnent, tlten Organization slrall perforrn suclr procedr-rres and provide necessary passes ot'
<br />otheruise for NIJO access. Organizatiorr is solely responsible for securirrg its property, systems, equipnrent,
<br />facilities, personnel ancl gr.rests.
<br />5. Payment. Unless otlrelwise agreed irr writing between NIJO and Organizatiorr, ten'ns of payment for
<br />seryices rendered by NIJO are net thirly (30) days fronr date of irrvoice. NIJO rnay require a conrpleted
<br />ciedit applicatiort at its option. Seller shall not be required to nrake any slriprnent or render any services
<br />r.rnless payment is rnade consistent witlr any terms NIJO lras required fortlris order or any other orders from
<br />Organizatiorr. Unless otherwise agreed to by NllO, all payrrrents hereunder shallbe irr U.S. dollars. Any
<br />amounts owing lrereunder and rrot paid when due slrall bear interest at a l-ate of 11/zo/o per montli, wlriclr is
<br />an annual percentage rate of 1B7o per annurr, applied to tlre adjr-rsted previous balance frorr and after tlre
<br />dr-re date thereof. Failure to pay any arnount owing in firll on tlre ternrs specified herein shall void all
<br />discounts given. Organization shall pay all of NIJO's costs and expenses (including altorneys' fees, court
<br />costs and otlrer collections costs) incurted to collect any amounts owrrrg Seller. Seller reserues the right to
<br />apply interest clrarges retroactively, wlrether or not they are sl-rowr-r on individual statements or invoices.
<br />6. Taxes. Organization shall be resporrsible for all taxes, dr"rties or fees levied by any government authority as
<br />a lesult of the Products or Services hereurrder, excluding NIJO's incorne taxes.
<br />7. Relationship. NIJO's relationship with Otganization shall be tlrat of an indeperrdent contractor and notlring
<br />in tlrese Terrns and Conditions can or should be construed to create a partnership, joint venture, agency or
<br />ernployer-ernployee relatiorrslrip.
<br />B. Confidentiality. Neitlrer pafty sliall disclose or use for any purpose except as outlined lrereunder inclLrding
<br />without linritation (i) tlre financial tetnrs between the parlies; (ii) the teclrnology, ideas, fonrulae, know lrow,
<br />docr-rtnentation, procedur-es, algorithnrs and trade secrets errrbodied in the Services, teclrnical
<br />docurnentation, soh-rtion rnetlrodology (e.9. forecasting and optirnization teclrniques), user manuals and
<br />otlrer deliverables, (iii) Otganization business or rnarketirrg data; and/or (iv)any otlrer inforrnation, whetlrer
<br />in wtitten or magnetic tnedia, that is identified as confidential; except suclr infornration tlrat (a) is knorvn to
<br />eitlrer party priorto its first receipt of suclr informatjon, (b) is generally known to the public priorto its
<br />receipt by Organization, (c) becomes available to the pLrblic other tharr as a result of a disclosure by either
<br />party; (d) is reqr-rired to be disclosed pursuant to arr applicable law or by order of any couft or
<br />governmental agency; or (e) is independently developed by either party witlror-rt reference to confidential
<br />inforrnation.
<br />9. lntellectual Property. NUO and its licensors retain and reserve exclusive owrrership of all worldwide
<br />copyrights, trademarks, seryice rnarks, trade secrets, patent rights, moralriglrts, property riglrts and allother
<br />industrial riglrts in tlre Services, including any derivative works, rnodifications, cr-rstomizations, updates, or
