I. <br />EXHIBIT I <br />Settlement Fund Administrator Terms <br />Definitions <br />A. This Settlement Fund Administrator Terms incorporates all defined terms in the <br />Janssen Washington State-Wide Opioid Settlement Agreement ("Janssen <br />Settlement Agreement"), unless otherwise defined herein, and shall be interpreted <br />in a manner consistent with the Janssen Settlement Agreement. <br />Establishment of the Settlement Fund Administrator <br />A. Selection of the Settlement Fund Administrator. <br />i. Subject to the removal provisions under Section II.C below, BrownGreer <br />PLC is hereby selected as the Settlement Fund Administrator. <br />ii. Within thirty (30) calendar days of the Effective Date of the Janssen <br />Sefflement Agreement, unless such time is extended by written agreement <br />of Janssen and the State, a contract shall be negotiated and finalized with <br />BrownGreer PLC. <br />iii. The terms of the Sefflement Fund Administrator shall be for the duration <br />of the Janssen Settlement Agreement or as otherwise specified in the <br />contract executed with such entity, unless the Settlement Fund <br />Administrator is removed pursuant to Section II.C below. <br />B. Governance of the Settlement FundAdministrator. <br />i. The Settlement Fund Administrator will act as an independent and neutral <br />third party to determine the allocation of payments under Section VI.C of <br />the Janssen Settlement Agreement; administer and disburse funds from the <br />Settlement Fund; and perform other duties as described below and in the <br />Janssen Settlement Agreement. <br />ii. All parties to the Janssen Settlement Agreement are entitled to rely upon <br />information received from the Settlement Fund Administrator, whether in <br />oral, written, or other form. No Parfy to the Janssen Settlement <br />Agreement shall have any liability (whether direct or indirect, in contract <br />or tort or otherwise) to any party for or in connection with any action <br />taken or not taken by the Settlement Fund Administrator. In addition, no <br />Party to the Janssen Settlement Agreement shall have any liability <br />(whether direct or indirect, in contract or tort or otherwise) to any party for <br />or in connection with any action taken or not taken by Janssen based on <br />incorrect, inaccurate, incomplete or otherwise effoneous information or <br />data provided by the Settlement Fund Administrator. For the avoidance of <br />doubt, nothing in this parcgraph alters Sections I to XI of the Janssen <br />Settlement Agreement or any of the exhibits thereto. <br />u. <br />I-l
