operating capability in as little time as possible. CONTRACTOR will maintain and <br />supply an inventory of spare Cable in storage facilities supplied and maintained by <br />CONTRACTOR at strategic locations to facilitate timely restoration. <br />14. Planned Service Work Period (PSWP). Scheduled Maintenance which is reasonably <br />expected to produce any signal discontinuity will generally be scheduled after midnight and <br />before 6:00 a.m. local time. Major system work, such as fiber rolls and hot cuts, will be <br />scheduled for PSWP weekends. <br />15. Subcontracting. CONTRACTOR may subcontract, up to a maximum percentage by value <br />of the work of seventy percent (70%) of any of the construction and maintenance services <br />hereunder; provided that CONTRACTOR will require the subcontractor(s) to perform in <br />accordance with the requirements and procedures set forth herein. The use of any such <br />subcontractor will not relieve CONTRACTOR of any of its obligations hereunder. <br />16. Demarcation and Ownership. <br />A) Demarcation Points. CONTRACTOR Communications will designate an installation <br />demarcation) between the County Funded Network facilities described in Exhibit A-3 <br />and the CONTRACTOR -owned network to safeguard and maintain CONTRACTOR <br />operational control over the system as a whole. <br />B) Ownership. The COUNTY will retain ownership of the Network Assets as described <br />in Exhibit A-3. CONTRACTOR will retain ownership if its network facilities on the <br />CONTRACTOR side of any demarcation point and will retain ownership of all Drop <br />Facilities and CPE unless purchased by the COUNTY in accordance with the terms of <br />this Agreement or as may otherwise be mutually agreed between the Parties. <br />17. Fees and Taxes. CONTRACTOR, as the operator of the Network Asset, will be responsible <br />for all charges and fees that arise as a result of network operation including, but not limited to, <br />pole attachment fees and right of way charges including all current and future assessments <br />necessary to maintain the network in a full operational capacity. <br />As part of its operating obligations under this Agreement, the COUNTY will be responsible for <br />all ad valorem, property or other taxes assessed on the County Funded Network facilities or <br />CONTRACTOR's operation thereof. <br />Professional Services Agreement <br />Page 30 <br />
