COUNTY Final Approval of Design Services. CONTRACTOR shall coordinate the Design <br />Services with the COUNTY, and the COUNTY shall have final review and approval rights over <br />any and all Design Services. Upon completion of the Design Services, the final COUNTY System <br />design, as approved by the COUNTY (the "Final Design"), shall be deemed part of this Agreement. <br />"Reserved Dark Fiber" means COUNTY System Dark Fiber strands not made subject to this <br />agreement that are reserved for use by the COUNTY for internal government use only. Reserved <br />Dark Fiber shall be reserved and held for the COUNTY's sole and exclusive use and control and <br />will consist of four (4) strands of Dark Fiber delivered to predetermined access points. <br />11. Safety. <br />A) CONTRACTOR shall take all reasonable precautions for the safety of, and shall <br />provide all reasonable protection to prevent damage, injury, or loss to: <br />i. all employees on the Work and all other persons who may be affected thereby; <br />ii. all the Work and all materials and equipment to be incorporated therein, whether <br />in storage on or off -the site, under the care; custody or control of CONTRACTOR <br />or any of its sub -contractors; and <br />iii. other property at the site or adjacent thereto, including trees, shrubs; lawns, walks, <br />pavements, roadways, structures, and utilities not designated for removal, <br />relocation or replacement in the course of construction. <br />B) CONTRACTOR shall give all notices and comply with all applicable laws, <br />ordinances, rules, regulations, and lawful orders of any public authority bearing <br />on the safety of persons or property or their protection from damage, injury or <br />loss. <br />C) CONTRACTOR shall erect and maintain, as required by existing conditions and <br />progress of the Work, all reasonable safeguards for safety and protection, <br />including posting danger signs and other warnings against hazards, promulgating <br />safety regulations, and notifying owners and users of adjacent utilities. <br />D) When the use or storage of hazardous materials or equipment is necessary for the <br />execution of the Work, CONTRACTOR shall: (1) exercise the utmost care and <br />shall carry on such activities under the supervision of properly qualified <br />personnel; and (2) give the COUNTY notice, in writing, seven (7) days in <br />advance of the planned activity of CONTRACTOR's intent to store and/ or use <br />hazardous materials or equipment on the Project site. <br />12. Final Completion. CONTRACTOR shall notify as to final completion of the Work and the <br />COUNTY shall accept the final completion of the Work for the respective phase only when all <br />Work has been completed in accordance with the Contracts and CONTRACTOR has offered <br />services to the public. Such acceptance by the COUNTY shall not be unreasonably delayed or <br />Professional Services Agreement <br />Page 16 <br />
