xIV. <br />xv. <br />xvr. <br />xv[. <br />Entire Contraet <br />This agreement reprcsents the entire understanding of the parties and supersedes any oral <br />representations that are inconsistent with or nrodiff its tems and conditions. <br />Modification <br />This agreement rnay be modified and amended only in writing and signed by the parties <br />heteto. <br />Iq4ependent Contractor <br />In providing services under this Interlocal Agreement, Ifittitas County is an independent <br />oontmctor aud neither it nor its officers, agents or employees are employees of Walla Walla <br />County for any purpose, including but not limited to, responsibility for any federal or state <br />tax, industrial insurance, or Social Security liability. Neither shall the pr.ovision of services <br />under this Interlocal Agleement give rise to any claim of oareer service or civil service <br />rights, which may accrue to an employee of Walla Walla Cotrnty under any applicable law, <br />tule, or regulation. <br />Genernl Provisions: <br />A. Iutposg- The purpose of this Interlocal Agreement is to permit the joint use of the <br />Kittitas County Jail for confinement of prisoners of the parties to the Iuterlocal <br />Agreemen! thereby promoting maximum use and efficiency of the Ifittitas County <br />Jail, <br />B. Adrninistrator. Pursuant to RCW 39.34.030(4)(a), the adrninistrator for this <br />agreement shall be the Superintendent of the Kittitas County Jail. <br />C. Property. Uniess otherwise specifically agreed by the parties iu writing, all property, <br />personal and real, utilized by the parties hereto in flre execution of this Agr.eement <br />shall remain the property of that party initially owning it. <br />D. Venue. Venue for any lawsuit shall be detennined pursuant to RCW 36.01.050. <br />E. Filing. This Agreement shaJl be filed with the Ifittitas County Auditor's Office or, <br />altematively, listed by subject on eachoreitherparty's web site or other electronically <br />relrievable public source pursuant to RCW 39,3 4.040, <br />F, Severability. In the event any plovisions of ttris Agreement shall be deternined to be <br />unenforrceable or otherwise invalid for any reason, suchprovisions shall be enforced <br />and valid to the extent permitted by law.
